<br />e <br /> <br />e <br /> <br />this Ordinance, the Certificates, and the Official Statement. In case any officer whose signature shall appear on any <br />Certificate shall cease to be such officer before the delivery of such Certificate, such signature shall nevertheless be <br />valid and sufficient for all purposes the same as if such officer had remained in office until such delivery. Prior to <br />the initial delivery of the Certificates, the Mayor and the City Secretary and Bond Counsel to the City are hereby <br />authorized and directed to approve any technical changes or corrections to this Ordinance or to any of the <br />instruments authorized by this Ordinance necessary in order to (i) correct any ambiguity or mistake or properly or <br />more completely document the transactions contemplated and approved by this Ordinance, (ij) obtain a rating from <br />any of the national bond rating agencies, or (Hi) obtain the approval of the Certificates by the Texas Attorney <br />General's office. <br /> <br />SECTION 22. MISCELLANEOUS PROVISIONS. (a) Titles Not Restrictive. The titles assigned to the <br />various sections of this Ordinance are for convenience only and shall not be considered restrictive of the subject <br />matter of any section or of any part of this Ordinance. <br /> <br />(b) Inconsistent Provisions. All orders and resolutions, or parts thereof, which are in conflict or <br />inconsistent with any provision of this Ordinance are hereby repealed and declared to be inapplicable, and the <br />provisions of this Ordinance shall be and remain controlling as to the matters prescribed herein. <br /> <br />(c) Severabilitv. If any word, phrase, clause, paragraph, sentence, part, portion, or provision of this <br />Ordinance or the application thereof to any person or circumstances shall be held to be invalid, the remainder of this <br />Ordinance shall nevertheless be valid and the City hereby declares that this Ordinance would have been enacted <br />without such invalid word, phrase, clause, paragraph, sentence, part, portion, or provisions. <br /> <br />(d) Governing: Law. This Ordinance shall be construed and enforced in accordance with the laws of the <br />State of Texas. <br /> <br />(e) Open Meeting:. The City officially finds and detennines the meeting at which this Ordinance is adopted <br />was open to the public and that public notice of the time, place, and purpose of such meeting was given, all as <br />required by Chapter 551, Texas Government Code. <br /> <br />18 <br />
