<br />e <br /> <br />e <br /> <br />elected to succeed himself or herself. Any two or more offices may be held at the same <br />time by the same person, except that the offices of Chairman and Second Vice <br />Chairman/Secretary may not be held at the same time by the same person. <br />(f) Any officer may resign at any time by giving written notice to the <br />Chairman or Secretary of the corporation. Unless otherwise specified in the notice, the <br />resignation shall take effect upon receipt, and the acceptance of the resignation shall <br />not be necessary to make it effective. <br />(g) Any officer (whether elected by the members or appointed by the <br />Chairman) may be removed at any time by the members, with or without cause; <br />provided that, removal without cause shall not prejudice the contract rights, if any, of <br />such officer. Any officer appointed by the Chairman may be removed at any time by <br />the Chain:nan with or without cause; provided that, removal without cause shall not <br />prejudice the contract rights, if any, of such officer. <br />4.2 Attendance at Meetinos. The Chairman, and in his or her absence the <br />First Vice-Chairman and in the absence of the Chairman and the First Vice-Chairman, <br />the Second Vice-Chairman, shall call meetings of the members to order, and shall act <br />as chair of such meetings, and the Secretary shall act as secretary of all such meetings, <br />but in the absence of the secretary the chair may appoint any person present to act as <br />Secretary of the meeting. <br />4.3 Duties. The principal duties of the several officers are as follows: <br />(a) Chairman. The Chairman shall preside at all meetings of the <br />members. The Chairman shall be the chief executive officer of the corporation, and <br />subject to the control of the members, shall have general charge and supervision of the <br />administration of the activities and affairs of the corporation. The Chairman (or the First <br />Vice-Chairman, in his or her absence, and in the absence of the Chairman and the First <br />Vice-Chairman, the Second Vice-Cha!rman) will serve as spokesman for the group, <br />handle all corr~spondence, call meetings, appoint specialists, Zone Representatives, <br /> <br />4123/97 <br /> <br />18 <br />
