<br />section 3. eis ordinance shall be daed effective for <br />purposes of the Transfer and, if applicable, the Change in Actual <br />Working Control upon the date of Closing of the contribution <br />Agreement (the "Closing Date"), and if applicable, for purposes of <br />the TCI Change of Control upon the earlier of the Closing Date or <br />the date of Closing of the AT&T Merger Agreement. <br />section 4. (a) The Franchise Authority releases Franchisee, <br />upon the effective date of the Renewal Franchise, from all <br />obligations and liabilities of the Current Franchise, and (b) the <br />Franchise Authority releases Franchisee from all obligations and <br />liabilities of the Renewal Franchise that arise and accrue after <br />the Closing, provided that the Partnership shall be responsible for <br />any obligations and liabilities under the Renewal Franchise that <br />arise and accrue after the Closing Date. <br />section 5. This ordinance shall have the force of a <br />continuing agreement with Franchisee and the Partnership. The <br />Franchise Authority shall not amend or otherwise alter this <br />ordinance without the consent of Franchisee and the Partnership. <br />section 60 The City Council officially finds, determines, <br />recites, and declares that a sufficient written notice of the date, <br />hour, place and subject of this meeting of the City Council was <br />posted at a place convenient to the public at the City Hall of the <br />ci ty for the time required by law preceding this meeting, as <br />required by the Open Meetings Law, Chapter 551, Texas Government <br />Code; and that this meeting has been open to the public as required <br />by law at all times during which this ordinance and the subject <br />matter thereof has been discussed, considered and formally acted <br />upon. The City Council further ratifies, approves and confirms <br />such written notice and the contents and posting thereof. <br /> <br />3 <br />
