<br />Order 12372, governing the review and coordination of Federally assisted programs and
<br />projects.
<br />
<br />B. Independent Contractor
<br />
<br />Subrecipient shall operate hereunder as an independent contractor and not as an officer,
<br />agent, servant or employee of Grantee, Subrecipient shall have exclusive control of, and
<br />the exclusive right to control, the details of the work and services performed hereunder,
<br />and all persons performing same, and shall be solely responsible for the acts and
<br />omissions of its officers, members, agents, servants, employees, sub-Subrecipients,
<br />program participants, licensees or invitees. The doctrine of respondeat superior shall not
<br />apply as between Grantee and Subrecipient, its officers, members, agents, servants,
<br />employees, sub-Subrecipients, program participants, licensees or invitees, and nothing
<br />herein shall be construed as creating a partnership or joint enterprise between Grantee and
<br />Subrecipient. It is expressly understood and agreed that no officer, member, agent,
<br />employee, sub-Subrecipient, licensee or invitee of the Subrecipient, nor any program
<br />participant hereunder, is in the paid service of Grantee and that Grantee does not have the
<br />legal right to control the details of the tasks performed hereunder by Subrecipient, its
<br />officers, members, agents, employees, sub-Subrecipients, program participants, licensees
<br />or invitees.
<br />
<br />Grantee shall in no way nor under any circumstances be responsible for any property
<br />belonging to Subrecipient, its officers, members agents, employees, sub-Subrecipients,
<br />program participants, licensees or invitees, which may be lost, stolen, destroyed or" in any
<br />way damaged,
<br />
<br />C. Workers' Compensation
<br />
<br />The Subrecipient shall provide Workers' Compensation msurance coverage for all
<br />employees involv.ed in the performance of this Agreement. Subrecipient must provide to
<br />HCOHED a Certificate of such insurance. Subrecipient agrees. to require any sub-
<br />Subrecipients to carry Workers' Compensation msurance coverage for all employees
<br />involved in the performance of this Agreement. The Subrecipient shall also abide by the
<br />Contract Work Hours and Safety Standards Act of 1962 (40 U.S.c. 327 et seq,).
<br />
<br />D. Insurance and Bonding
<br />
<br />Subrecipient will obtain and maintain during the term of this Agreement public liability
<br />and automobile liability insurance covering all risks incident to or in connection with the
<br />execution, performance, attempted performance or nonperformance of this Agreement.
<br />
<br />The amounts of such insurance shall not be less than the maximum liability which can be
<br />imposed on Grantee under the laws of the State of Texas. At present, such amounts are
<br />as follows:
