Responsibilities of the Parties <br />The State and the Local Government agree that neither party is an agent, servant, <br />or employee of the other party and each party agrees it is responsible for its <br />individual acts and deeds as well as the acts and deeds of its contractors, <br />employees, representatives, and agents. <br /> <br />16. Ownership of Documents <br />Upon completion or termination of this agreement, all documents prepared by the <br />State shall remain the property of the State. All data prepared under this <br />agreement shall be made available to the State without restriction or limitation on <br />their further use. All documents produced or approved or otherwise created by the <br />Local Government shall be transmitted to the State in the form of photocopy <br />reproduction on a monthly basis as required by the State. The originals shall <br />remain the property of the Local Government. <br /> <br />17. Document and Information Exchange <br />The Local Government agrees to electronically deliver to the State all general <br />notes, specifications, contract provision requirements and related documentation in <br />a Microsoft@) Word or similar document. If requested by the State, the Local <br />Government will use the State's document template. The Local Government shall <br />also provide a detailed construction time estimate including types of activities and <br />month in the format required by the State. This requirement applies whether the <br />Local Government creates the documents with its own forces or by hiring a <br />consultant or professional provider. <br /> <br />18. Compliance with Laws <br />The parties shall comply with all Federal, State, and Local laws, statutes, <br />ordinances, rules and regulations, and the orders and decrees of any courts or <br />administrative bodies or tribunals. in any manner affecting the performance of this <br />agreement. When required, the Local Government shall furnish the State with <br />satisfactory proof of this compliance. <br /> <br />19. Sole Agreement <br />This Agreement constitutes the sole and only agreement between the parties and <br />supersedes any prior understandings or written or oral agreements respecting the <br />agreement's subject matter. <br /> <br />20. Cost Principles <br />In order to be reimbursed with federal funds, the parties shall comply with the Cost <br />Principles established in the Office of Management and Business (OMB) Circular A- <br />87 that specify that all reimbursed costs are allowable, reasonable and allocable to <br />the Project. <br /> <br />Page 11 of32 <br />
