Interest on this Certificate is payable on March 15, 2008, and each March 15 and September 15 thereafter until maturity or earlier redemption of this Certificate, by check sent by United States mail, first class, postage prepaid, by the Paying Agent/Registrar to the Registered Owner of record as of the close of business on the fifteenth day of the calendar month immediately preceding the applicable interest payment date, as shown on the registration books kept by the Paying Agent/Registrar. Any accrued interest payable at maturity or earlier redemption shall be paid upon presentation and surrender of this Certificate at the principal corporate trust office of the Paying Agent/Registrar. THIS CERTIFICATE IS ONE OF A DULY AUTHORIZED SERIES OF CERTIFICATES (the "Certificates") in the aggregate principal amount of $8,575,000 issued pursuant to an ordinance adopted by the City Council of the City on May 21, 2007 (the "Ordinance") for the purpose of providing all or part of the funds to pay for (i) construction of an addition to and upgrading of the City's wastewater treatment plant, (ii) improvements to the City's Bay Forest Golf Course, including replacement of cart paths, tunnel and restrooms, (iii) construction of a sports complex consisting of amateur ball fields and related infrastructure to be located South of Fairmont Parkway and East of Willow Spring Bayou, and (iv) professional services rendered in connection with the above listed projects. In addition, a portion of the proceeds from the sale of the Certificates will be used to pay the costs of issuance of the Certificates. 4REFERENCE IS HEREBY MADE TO THE FURTHER PROVISIONS OF THIS CERTIFICATE SET FORTH ON THE REVERSE HEREOF, WHICH PROVISIONS SHALL HAVE THE SAME FORCE AND EFFECT AS IF SET FORTH AT THIS PLACE. 'THIS CERTIFICATE shall not be valid or obligatory for any purpose or be entitled to any benefit under the Ordinance unless this Certificate is authenticated by the Paying Agent/Registrar by due execution of the authentication certificate endorsed hereon. 4 This paragraph shall be omitted from the initial Certificate and any other Certificate for which text does not appear on the back of a printed certificate. s In the initial Certificate, this paragraph shall read: "THIS CERTIFICATE shall not be valid or obligatory for any purpose or be entitled to any benefit under the Ordinance unless this Certificate is registered by the Comptroller of Public Accounts of the State of Texas by due execution of the registration certificate endorsed hereon."
