<br />. <br /> <br />. <br /> <br />RESOLUTION NO. 87-21 <br /> <br />A RESOLUTION BY THE CITY COUNCIL OF THE CITY OF LA PORTE <br />OPPOSING THE CHANGE OF THE H-GAC BY-LAWS AS PERTAINS TO SECTION <br />IX AMENDMENTS <br /> <br />WHEREAS, Article II of the By-Laws of the <br />Houston-Galveston Area, Council states that the objectives of <br />the Houston-Galveston Area Council shall be to encourage and <br />permit local units of government to join and cooperate with <br />each other to improve the health, safety and general welfare of <br />their citizens and to plan for the future development of the 13 <br />county regions; and <br />WHEREAS, the City of La Porte has fulfilled all membership <br />requirements, including the payment of dues and the adoption of <br />the Houston-Gal veston Area Council By-Laws by passage of an <br />ordinance, minute order, resolutions or other appropriate legal <br />action; and <br />WHEREAS, the current Board of Directors are directing that <br />a proposal to amend Article IX concerning the method of <br />amendment of By-Laws be placed on the October H-GAC agenda; and <br />WHEREAS, Article IX of the H-GAC By-Laws mandates the <br />unanimous vote of the members of the Board of Directors for the <br />By-Laws to be amended; and <br />WHEREAS, a proposed seventy-five percent (75%) vote by the <br />current composition of the Board of Directors to change the <br />current By-Laws as proposed, or any other vote other than a <br />unanimous vote could limit, or exclude membership on the Board, <br />raise dues, or alter any other provision of the H-GAC By-Laws <br />to su ita non-representa ti ve minor i ty or maj or i ty of current <br />members; and <br />WHEREAS, the authors of the original By-Laws in their <br />wisdom sought to preserve the rights of small or disadvantaged <br />entities to maintain a balance and provide a mechanism to <br />encourage the active participation of all governmental entities <br />to obtain the objectives of the Houston-Galveston Area Council; <br />and <br /> <br />WHEREAS, these proposed amendments, no matter how well <br />intended, jeopardize these rights. <br />NOW, THEREFORE, BE IT RESOLVED THAT the City Council of <br />the City of La Porte opposes any attempt to amend the voting <br />requirements of Section IX of the By-Laws of the <br />Houston-Galveston Area Council; and instruct our <br />representatives on the H-GAC Board of Directors, their <br />alternates or successors, to vote against any change to Section <br />IX of Houston-Galveston Area Council By-Laws. <br /> <br />. <br />
