<br />THIS OBLIGATION IS ONE OF A DULY AUTHORIZED SERIES OF <br />OBLIGATIONS (the "Obligations") in the aggregate principal amount of $2,625,000 issued <br />pursuant to an ordinance adopted by the City Council of the City on December 12, 2005 (the <br />"Ordinance") for the purpose of paying (a) all or a portion of the City's contractual obligations to <br />be incurred in connection with the use, purchase or other acquisition of personal property, under <br />and pursuant to the authority of Chapter 271, Subchapter A, Texas Local Government Code, as <br />amended, and the City's Home Rule Charter. Proceeds of the Obligations will also be used to <br />pay costs of issuance of the Obligations and other professional services related thereto. <br /> <br />2REFERENCE IS HEREBY MADE TO THE FURTHER PROVISIONS OF THIS <br />OBLIGATION SET FORTH ON THE REVERSE HEREOF, WHICH PROVISIONS SHALL <br />HAVE THE SAME FORCE AND EFFECT AS IF SET FORTH AT THIS PLACE. <br /> <br />3THIS OBLIGATION shall not be valid or obligatory for any purpose or be entitled to <br />any benefit under the Ordinance unless this Obligation is authenticated by the Paying <br />Agent/Registrar by due execution of the authentication certificate endorsed hereon. <br /> <br />IN WITNESS WHEREOF, the City has caused its corporate seal to be impressed or <br />placed in facsimile hereon and this Obligation to be signed by the Mayor and countersigned by <br />the City Secretary by their manual, lithographed or printed facsimile signatures. <br /> <br />CITY OF LA PORTE, TEXAS <br /> <br />~~~~ ~~-e~ <br /> <br />Mayor <br /> <br />(SEAL) <br /> <br />COUNTERSIGNED: <br /> <br />~r;" ;1M <br /> <br />City Secretary <br /> <br />* * * <br /> <br />[REVERSE OF OBLIGATION] <br /> <br />THE CITY RESERVES THE RIGHT, at its option, to redeem, prior to their maturity, <br />Obligations, in whole or in part, on any date at a price of par plus accrued interest to the date <br /> <br />2 This paragraph shall be omitted from the initial Obligation and any other Obligation for which text does not appear <br />on the back of a printed bond. <br />3 In the initial Obligation, this paragraph shall read as follows: <br /> <br />"THIS OBLIGA nON shall not be valid or obligatory for any purpose or be entitled to any benefit <br />under the Ordinance unless this Obligations is registered by the Comptroller of Public Accounts of <br />the State of Texas by due execution of the registration certificate endorsed hereon." <br /> <br />B-2 <br /> <br />HOU:2516661.4 <br />
