WITNES SETH Whereas, Harris County and the La Porte are authorized to enter into an agreement to contract with eligible .entities to perform governmental functions and services, including the .. purchase of goods and services pursuant to and illlder th~ provisions 'of Tex. Goy't Code Ann. ~791.001 et seq (Vernon 1994 & Supp. 2003), also known as "The Intcrlocal Cooperation Act"; and, Whereas, in reliance on such Act, Harris County and the La Porte desire to permit the debris removal and disposal services. Now therefore, the parties hereto, mutually agree to the following:!. The City of La Porte ("La Portell) hereby designates it's Emergency Management Coordinator and Assistant Director of Public Works to act illlder the direction and on behalf of La Porte for debris removal and disposal services pursuant to Harris ComIty's Agreement with Omni Pinnacle, LLC (Omni), as primary contractor and DRC Emergency Services, LLC (DRC), as secondary contractor, which was let in accordance with Chapter 252 of the Texas Local Government Code and all other applicable laws and which agreement is attached hereto as Exhibit "A" and incorporated. herein for ~l intents and purposes II. La Porte, by execution of this Agreement; agrees to directly pay Omni and/or DRC upon 1'eceipt of goods and/or completion of work specified for La Porte's debris removal and disposal ~ervices, according to the description contained herein. and after receipt of a proper invoice, therefore an amoWlt based upon the unit pricing detailed in Exhibit "A". Neither Harris COilllty nor La Porte shall assume any responsibility or liability to pay for materials plU'chased or services performed for the benefit of the other entity. La Porte's payment required by tlus contract shall be made from current, available revenues, as approved by La Porte City Council. Furthermore, both parties agree that no payrrienthas been, 01' will be made to.Hartis County for any services or funct.ions requIred to be pcrformedwlder this Agteement. IiI'obtaining the services of Omni and/or DRC, La Porte has relied solely- on its own inspections, investigations, .and due diligence regarding the services and La Porte acknowledges that Han'is County has made no . representations..or 'wan-anties .expressed or implied with respect to the services to be rendered. III.
