<br />CONtP A1"..y <br /> <br />K: \laporteSylvanBeachShorelinell <br /> <br />AGREEMENT <br /> <br />THE STATE OF TEXAS S <br />S <br />COUNTY OF HARRIS S <br /> <br />This Agreement is made and entered into by and between Harris County, a body corporate <br />and politic under the laws of the State of Texas, hereinafter called "County," and the City of La <br />Porte, a body corporate and politic under the laws of the State of Texas, hereinafter called "City"; <br /> <br />RECITALS: <br /> <br />1. It is to the mutual benefit of County and City to have an armored shore line constructed <br />along the Galveston Bay shoreline at Sylvan Beach, including approximately 1,000 feet of beach <br />nourishment fill, within the incorporated area of the City, hereinafter called the "Project." <br /> <br />2. The City has entered into a Project Cooperation Agreement with the State of Texas General <br />Land Office (the "GLO") in regard to the design and construction of the Project by the GLO. <br /> <br />3. The Project Cooperation Agreement provides that the City shall, each month, reimburse the <br />GLO 45% of the costs incurred by the GLO in designing and constructing the Project during the <br />preceding month, but authorizes either the GLO or the City to terminate the agreement upon at <br />least thirty days advance notice. <br /> <br />4. The City entered into the Project Cooperation Agreement with the expectation that the <br />County would participate in the Project by providing 50% of the money that the City is to provide <br />to the State under the Project Cooperation Agreement, up to a maximum County contribution of <br />$600,000.00. <br /> <br />5. If the County does not enter into this Agreement to help fund the City's contribution under <br />the Project Cooperation Agreement, the City intends to exercise its right to terminate the Project <br />Cooperation Agreement. <br /> <br />6. The County is willing to enter into this Agreement if the City agrees not to exercise its <br />authority to terminate the Project Cooperation Agreement without the consent of the Harris County <br />Commissioners Court. <br /> <br />NOW, THEREFORE, for and in consideration of the mutual covenants, agreements and <br />benefits to the parties herein named, it is agreed as follows: <br /> <br />TERMS: <br /> <br />1. Within ninety (90) days after the approval of this Agreement by both the City and the <br />County, the County shall deliver to the City its check in the amount of $600,000.00. Such funds <br />shall be used only to make 50% of each payment owed to the GLO under 3.01 of the Project <br />
