<br />THAT FMC FOUNDATION, a CaliCdrnia non-profit corporation (hereinafter
<br />referred to as "Grantor"), for and in consideration of the sum of Ten Dollars ($10.00) I' n ).../

<br />INC., a Texas corporation (hereinafter referred to as "Grantee"), whose mailing
<br />address is 1000 Louisiana, Suite 5650, Houston, Texas 77002, the receipt and
<br />sufficiency of which consideration are hereby acknowledged, and upon and, subject to
<br />the exceptions, encumbrances, terms and provisions hereinafter set forth and
<br />described, has GRANTED, BARGAINED, SOLD and CONVEYED, and by these
<br />presents does hereby GRANT, BARGAIN, SELL and CONVEY, unto Grantee that
<br />certain tract or parcel of real property situated in Harris County, Texas, described
<br />on Exhibit A attached hereto and made a part hereof for all purposes, together with
<br />all and singular the rights, benefits, privileges, easements, tenements, hereditaments
<br />and appurtenances thereon or in anywise appertaining thereto, and together with all
<br />improvements situated thereon and any right, title and interest of Grantor in and to
<br />adjacent streets, alleys and rights-or-way (such land, rights, benefits, privileges,
<br />easements, tenements, hereditaments, appurtenances, improvements and interests
<br />being hereinafter referred to collectively as the "Property").

<br />In connection with the foregoing, Grantor does hereby reserve for itself and
<br />Grantee and their respective successors and assigns three (3) non-exclusive
<br />easements for rail, pipeline and utility access, including necessary drainage facilities,
<br />to and from the Property and other lands over, across and along those portions of
<br />the Property described on Exhibit B attached hereto and made a part hereof for all
<br />purposes (collectively, the "Reserved Easements"). The rights of Grantor and
<br />Grantee and their respective successors and assigns to use and enjoy the Reserved
<br />Easements are set forth in that certain Restated and Expanded Agreement for
<br />Access and Other Matters of even date herewith (the "Restated Access Agreement")
<br />by and among Grantor, Grantee, ARCO Chemical Company and FMC Corporation,
<br />to which Restated Access Agreement reference is here made for all purposes as if set
<br />forth herein in its entirety.

<br />This conveyance is made subject and subordinate to those encumbrances and
<br />exceptions (hereinafter referred to collectively as the "Permi,tted Exceptions") set
<br />, forth on Exhibit C attached hereto and made a part hereof for all purposes, but only
<br />to the extent that the same affect or relate to the Property.
