O. Box 61867, Houston, Texas 77208, and other good <br />and valuable consideration, the receipt and sufficiency of which consideration are hereby <br />acknowledged, has ASSIGNED, TRANSFERRED and DELNERED and by these"presents does <br />ASSIGN, TRANSFER and DELIVER unto Assignee, Tex~1S Genco GP's undivided one percent <br />(1%) interest, and Texas Genco LP's undivided ninety..nine percent (99%) right,' title and <br />interest, in and to the LLC's interest in the Contract. <br /> <br />1. As Is - Where Is Transfer. THE CONTRACT IS BEING P ARTIALL Y <br />TRANSFERRED AND ASSIGNED "AS IS, WHERE IS," WITHOUT ANY <br />REPRESENTATION OR WARRANTY OF ANY NATURE (a) AS TO THE VALUE OR <br />FREEDOM FROM ENCUMBRANCE OF, THE CONTRACT, (b) AS TO ANY WARRANTY <br />OF MERCHANTABILITY OR WARRANTY OF FITNESS FOR A PARTICULAR. PURPOSE <br />OF, OR ANY OTHER MATTER CONCERNING, THE CONTRACT OR (c) AS.TO THE <br />LEGAL SUFFICIENCY "OF TInS PARTIAL ASSIGNMENT TO PARTIALLY ASSIGN <br />TITLE TO THE CONTRACT. <br /> <br />2. Assumption bv Assimee. As between Assignor and Assignee only, and without <br />any benefits, rights and privileges being granted to or intended for any third party not a party to <br />this Assignment (including, without limitation, any past, current or future" (i) owner of the <br />property covered by the Contract or (ii) any party thereto unless specifically and legally required <br />thereiIi), the Assignee assumes and agrees to perform the obligations under the Contract to the <br />extent partially assigned hereby. <br /> <br />3. Certain Definitions. Further Assurances. Governing Law. This Assignment shall be interpreted ,and construed under and <br />pursuant to the laws of the State ofTexBs. <br /> <br />3. Counterparts. This Assignment may be executed in multiple counterparts, and all <br />such executed counterparts shall constitute the same agreement.
