ARTICLE X This Agreement may be amended by the mutual agreement of the parties hereto in a writing that specifically refers to this Agreement and indicates it is an amendment hereof. ARTICLE XI Recipient shall adhere to all local, state, and federal laws and regulations that may affect its actions made pursuant to this Agreement, and shall maintain in effect during the term of this Agreement any and all federal, state, and local licenses and permits which may be required of recipients generally. ARTICLE XII Recipient may not assign this Agreement without the written consent of LPDC, which consent will not be unreasonably delayed, conditioned, or denied; provided, however, the foregoing notwithstanding, Recipient may assign this Agreement, in whole or on a Project -by -Project basis, to an entity acquiring all or substantially all of its interest in the Styrene Monomer Project ARTICLE XIII The waiver by either party hereto of any breach of any term, condition, or covenant herein contained shall not be deemed a waiver of any subsequent breach of the same, or any other term, condition, or covenant. ARTICLE XIV The obligations of the parties to this Agreement are performable in Harris County, Texas and if legal action is necessary to enforce same, venue shall lie in Harris County, Texas. ARTICLE XV The parties' representatives will meet as needed to implement the terms of this Agreement and shall make a good faith attempt to informally resolve any disputes. Except to prevent irreparable harm for which there is no adequate remedy at law, neither party hereto shall file suit to enforce this Agreement without first submitting the dispute to confidential, non- binding mediation before a mediator mutually agreed upon by the parties.
