BE IT RESOLVED by the Board of Directors of LA PORTE LAND COMPANY, that: WHEREAS, this Corporation now owns and has no use for the property described on Exhibit "An attached hereto, which said property described on Exhibit "A" attached hereto is a tract or parcel of land from and out of the former Cedarhtirst Cemetery, according to the map or plat thereof recorded in Volume 2, Page 24, Map Records of Harris County, Texas, reference to which is here made for all purposes; and WHEREAS, the CITY OF LA PORTE, a municipal corporation, has offered to purchase the property described on Exhibit "A" attached hereto, .from .this Corporation, for use by the said CITY OF LA PORTE for expansion of its sanitary sewer treatment plant, ,a public utility; and WHEREAS, under the terms and provisions of Art. 912a-ll, sub-paragraph (a), Revised civil Statutes of Texas, the said Cedarhurst Cemetery Association having been dissolved, and there being no Directors of said Cedarhtirst Cemetery Association owning or 'operating the same; and WHEREAS, LA PORTE LAND c;OMPANY, .a Texas corporation, the present owner of all of the burial plots therein, has been requested by the CITY OF LA PORTE to consent to the laying out through, .over, and'across that portion of said Cedarhurst Cemetery described on Exhibit "A"' attached hereto, a sanitary sewer treatment plant, a public utilitYi and WHEREAS, this Board has determined that it will be "for the best interests of this Company and its stockholders to accept 'an offer from the CITY OF LA PORTE, a municipal corporation, to purchase said property for Twenty-four Thousand Eight Hundred Fifty-nine Dollars and Eighty Cents ($24,859.80), and has deter- mined that the fair market value of said property is not more ...
