<br />Dear Mr. Zirkelbach:

<br />This letter is to evidence the consent and agreement of' the
<br />City of La Porte concerning Lots 9 and 24, described above,
<br />whi~h you have this day conveyed to the City of La Porte.
<br />
<br />The City of La Porte agrees that Lots 9 and 24 will be kept
<br />and maintained by the City of La Porte as access and parking
<br />facilities. However, the City of La Porte retains the right
<br />to control and deny through traffic, across said lots, from
<br />South 7th Street to South 8th Street, and from South 8th Street'
<br />to South 7th Street, by terminating access at the point of the
<br />existing alley. It is further agreed and understood .that the
<br />,owner of the properties situated north of Lots 9 and 24;
<br />respectively, will have the right of joint use of said Lots'
<br />9 ,and 24, for ingress and egress purposes, and for parking
<br />access purposes to the said property situated to the nort~ of
<br />said Lots 9 and 24, Block 164, Town of La Porte, Harris County,
<br />Texas.
