<br />together wi th their invoice, which I would appreciate your paying
<br />direct to them, in the amount of $100.00.

<br />The Abstractor's Certificate shows that Quaker Oats Chemicals, Inc.,

<br />sold the property to Southern Ionics, Inc., by Deed dated June 4,
<br />1986, with two mortgages for $750,000.00 each, and a mortgage pay-
<br />able to banks, and a mortgage for $1,450,000.00 payable by Southern
<br />Ionics, Inc., to Quaker Oats Chemicals, Inc., and a further mortgage
<br />of $3,750,000.00 from Southern Ionics, Inc., to Quaker Oats Chemicals,
<br />Inc.

<br />The Abstractor's Certificate shows no recorded option agreement, sale
<br />agreement, deed, or otherwise, from Southern Ionics, Inc., to Houston
<br />Chemical Services, Inc., nor to any other party.

<br />Copies of the recorded instruments are attached to the Abstractor's
<br />certificate.
