<br />CONSENT AND PROXY.
<br />
<br />Whereas the Deed Restrictions of Shady River'Addition, Shady
<br />River Section 2 and Shady River Section 3 provide that at
<br />any time after October 31, 1972, the owners of lots' then....'..
<br />being serviced by the Shady River Addition Committee may, by
<br />majority vote, transfer all the rights, pow~rs, duties, pur-
<br />poses, and functions of such committee to any nonprofit.civrc
<br />club or similar association or organization representing them.
<br />
<br />Whereas on or after August 20, 1981, the owners of such lots'
<br />purported to transfer such. rights, powers, duties, pu~poses,
<br />and functions to the Shady River Civic Association, Inc.,
<br />but no formal record of such action can now be found.
<br />
<br />Now, therefore each of the undersigned hereby ,ratifies and

<br />vote in favor of such transfer and the ratification and',
<br />affirmation of such transfer at any meeting of the owners of
<br />such lots held in accordance with the applicable laws and
<br />such Deed Restrictions.

<br />Each of the undersigned hereby certifies that he is the owner
