<br />AND the further consideration of the execution and delivery by
<br />said Grantee of one certain promissory note of even date herewith
<br />executed by the 'Gran~ee he~ein for'OHE,MILLION TWO HUNDRED TWENTY-
<br />FIVE THOUSAND DOLLARS ($1,225,000.00), payable to Grantor herein,
<br />together with interest on the unpaid principal from date to
<br />maturity, at the interest rates per annum, as hereinafter provided,
<br />interest payable monthly as it accrues. All past due principal and
<br />interest to bear interest at the maximum rate as permitted by law.
<br />This note is payable as follows:

<br />Interest only, payable monthly, th~ first payment to be due
<br />and payable on August ~, 2003, at the rate of 6~ per annum,
<br />for the first 12 months following closing; thereafter, for
<br />monthly installments of interest only at the rate of 6.5% per
<br />annum, for the 13th through the 35th months following Closing,
<br />and, on or before July l , 2006, the full principal balance,
<br />and all interest due thereon, shall be due and payable; and

<br />said note secured by the Vendor's Lien hereinafter retained on the
<br />property hereby conveyed, and being additionally secu.red by a Deed
<br />of Trust of even date herewith to mox W. ASKINS, Trustee,
