<br />THAT SOUTHERN PACIFIC TRANSPORTATION COMPANY, a
<br />Delaware corporation (hereinafter referred to as "Grantor"), for and in
<br />consideration of the sum of Ten Dollars ($10.00) and other good and valuable I
<br />consideration to it in hand paid by the CITY OF LA PORTE, a municipal ~
<br />corporation (hereinafter referred to as "Grantee," ~hether one of more), the
<br />receipt of which is hereby acknowledged and confessed, has GRANTED, '
<br />BARGAINED, SOLD and CONVEYED and by these presents does GRANT,
<br />BARGAIN, SJ::LL and CONVEY unto the said Grantee, who address is P. O. Box
<br />1115, La Porte, Harris County, Texas 77572, all of the real property described
<br />as follows, to-wit:

<br />attached hereto, incorporated by reference herein, an-d made a
<br />part hereof for all purposes (the "Property"),

<br />TO HAVE AND TO HOLD the Property together with all and singular the
<br />rights and appurtenances thereto in any wise belonging, unto Grantee, its heirs,
<br />legal representatives, successors and assigns forever, and Grantor does hereby
<br />bind itself, its representatives, successors and assigns to warrant and forever
<br />defend all and singular the title to the Property against every person
<br />whomsoever lawfully claiming or to claim the same or any part thereof, by,
<br />through or under Grantor, but not otherwise, subject however to the matters
<br />herein excepted,

<br />Grantor, to the extent that Grantor owns or holds any interest thereon or
<br />thereto, excepts from the Property and reserves unto Grantor and Grantor's
<br />successors and assigns all oil, gas, hydrocarbon su~~taflces, _~ulfur, iron ore,
<br />coal, lignite, uranium, Hmestone, bunding'stone, caliche, gravel, sand or other
<br />minerals (whether or not of like. kind or character with the substances recited
<br />herein) upon, in and under the Property (including all mineral rights, mineral
<br />interest and royalties); provided that Grantor expressly waives the right to
<br />damage the surface the Property in connection with the driUing, mining,
<br />exploring or extracting any of the foregoing, .

<br />Anything herein to the contrary notwithstanding, this conveyance is made
<br />subject to all easements, leases, agreements or licenses which affect the
<br />Property hereby conveyed and any matter which would be disclosed by title
