<br />D. On August 28,2006, the City of La Porte closed portions ofE and F Streets, <br /> <br />but did not close the intersection of E Street and South 13 th Street and closed the north <br /> <br />half only of the intersection of F Street and 13 th Street. The total square footage of those <br /> <br />portions of E and F Streets originally proposed to be closed in the Agreement, but <br /> <br />retained by La Porte, is equal to 11,750 square feet, and as reflected on Exhibit A <br /> <br />attached hereto. These closures were made before the original Agreement, or a modified <br /> <br />agreement incorporating changes to the closure of E and F Streets reflecting the actual <br /> <br />closures by City Council, were presented to City Council for ratification. <br /> <br />E. To resolve the continuing issues over the matters in dispute, the parties have <br /> <br />agreed to adopt the Agreement and this Addendum thereto as containing the terms of the <br /> <br />settlement of this matter. <br /> <br />F. Without admitting any liability or fault, the Parties have also agreed to settle <br /> <br />all disputes they have relating to the Lawsuit or the facts underlying the Lawsuit. <br /> <br />The terms of the settlement of this matter, as reflected in the proposed Agreement <br /> <br />and this Addendum, are as follows: <br /> <br />1. To compensate Colvin for the amount of square footage lost as a result of <br /> <br />the retention of 11,750 square feet of E and F streets, La Porte agrees to release, and <br /> <br />allow Colvin to retain portions of Block 829, lots 1 thru 16, which otherwise was to be <br /> <br />conveyed to La Porte under the terms of the Agreement. Specifically, La Porte agrees that <br /> <br />Colvin is entitled to retain lots 1 thru 4, Block 829, whereas lots 1 thru 4 contain <br /> <br />--2-- <br />
