<br />aggregate square footage equal to 12,500 square feet, and is roughly the same size as the <br /> <br />portions of E and F Streets retained by La Porte. <br /> <br />2. La Porte and Colvin agree that subject to the modification noted in <br /> <br />paragraph one (1) above, the remaining portions of the Agreement shall remain the same, <br /> <br />and reflect the agreement of the parties. Restated, Colvin agrees to convey to La Porte the <br /> <br />following: Lots 4 thru 16, Block 793, Town of La Porte; Lots 5 thru 16, Block 829, Town <br /> <br />of La Porte. In exchange, La Porte agrees to convey to Colvin lots 17 thru 32, Block 827; <br /> <br />and further, to recognize and ratify as consideration to Colvin as part of the settlement of <br /> <br />this matter the closure of those portions of South 13th Street, E Street, and F Street which <br /> <br />were closed by City Council on August 28, 2006. <br /> <br />3. La Porte and Colvin (in this section, each a "Releasing Party"), each hereby <br /> <br />fully, completely, and forever RELEASES AND DISCHARGES the other Party hereto <br /> <br />(in this section, the "Released Party") and all of the Released Party's officers, directors, <br /> <br /> <br />shareholders, partners, affiliates, employees, agents, attorneys, and representatives from <br /> <br />any and all liabilities, claims or causes of action, damages of any kind whatsoever, at <br /> <br />common law, statutory or otherwise, which Releasing Party has or might have, known or <br /> <br />unknown, now existing or that might arise hereafter, directly or indirectly attributable to <br /> <br />the Lawsuit and any transactions between La Porte and Colvin in connection therewith, it <br /> <br />being intended to release all claims of any kind which Releasing Party has or might have <br /> <br />--3-- <br />
