<br />TRACT 3 -- Emergency Evacuation Easement:

<br />Being an emergency evacuation easement, containing 0.0686 acres
<br />(2,990 square feet) out of the Outlots 327, 334 and 347 of the Town
<br />of La Porte, a subdivision recorded in Volume 61, Page 374 of the
<br />Deed Records of Harris County, Texas, and being out of the Enoch
<br />Brinson League Survey, A-5 in Harris County, Texas. Said 0.0686
<br />acre tract being more particularly described by metes and bounds on
<br />Exhibit "e" attached hereto, incorporated by reference herein and
<br />made a part hereof for all purposes.

<br />Tract 1, Tract 2, and Tract 3, are shown on a plat attached hereto
<br />as Exhibit "0", incorporated by reference herein and made a part
<br />hereof for all purposes.

<br />RESTRICTIONS AND COVENANTS ON TRACT 2 AND TRACT 3, EMERGENCY EVACUATION TRACT
<br />AND EASEMENT:

<br />The conveyance of Tract 2 and Tract
<br />evacuation tract and easement, for
<br />property abutting Tract 1.
<br />
<br />3 are restricted to use as an emergency
<br />the benefit of Tract 1, and Grantee's
<br />
<br />The use of said emergency evacuation tract (Tract 2) will require a special
<br />exception from the City of La Porte Zoning Board of Adjustment, due to its
<br />narrow width of 23'. All construction within Tract 2 will require prior
<br />wri tten approval from the City of La Porte. All construction wi thin Tract 3
<br />will require prior written approval from the City of La Porte and is subject to
<br />terms and conditions of the existing Harris County Flood Control District
<br />easement located wi thin Tract 3. All costs of construction and maintenance
<br />within the emergency evacuation tract and easement shall be the sole
<br />responsibility of Grantee, its successors and assigns.
<br />
<br />Reservations from and Exception to Conveyance and Warranty: Taxes for the
<br />current year have been prorated and are assumed by Grantee. This conveyance is
<br />made subject to all and singular the restrictions, conditions, oil, gas, and
<br />other mineral reservations, easements, and covenants, if any, applicable to and
<br />enforceable against the above described property as reflected by the records of
<br />the county clerk of the aforesaid county, and the Zoning Ordinance and Building
<br />Codes of the City of La Porte.

<br />Grantor for the consideration and subject to the reservations from and
<br />exceptions to conveyance and warranty, grants, sells, and conveys to Grantee
<br />the property, together with all and singular the rights and appurtenances
<br />thereto in any wise belonging, to have and hold it to Grantee, Grantee's heirs,
<br />executors, administrators, successors, or assigns forever. Grantor binds
<br />Grantor and Grantor's heirs, executors, administrators, and successors to
<br />warrant and forever defend all and singular the property to Grantee and
<br />Grantee's heirs, executors, administrators, successors, and assigns against
<br />every person whomsoever lawfully claiming or to claim the same or any part
<br />thereof, by, through, or under Grantor but not otherwise, except as to the
<br />reservations from and exceptions to conveyance and warranty.
