Grantor binds Grantor and Grantor's heirs, executors, administrators, and <br /> successors to warrant and forever defend all and singular the Property to Grantee and Grantee's <br /> heirs, executors, administrators, successors, and assigns against every person whomsoever lawfully <br /> claiming or to claim the same or any part thereof, by, through or under Grantor,but not otherwise, <br /> except as to the reservations from and exceptions to conveyance and warranty. <br /> Reservations from and Exception to Conveyance and Warranty: This conveyance is made <br /> subject to all and singular the restrictions, conditions, oil, gas, and other mineral reservations, <br /> easements, and covenants, if any, applicable to and enforceable against the above described <br /> property as reflected by the records of the county clerk of the aforesaid county. <br /> Maintenance Covenant: As further consideration for the acceptance by Grantee of the Property, <br /> the Grantor acknowledges and agrees to assume responsibility for all manner of maintenance and <br /> upkeep of the Property, in order to effectuate the use of the Property as a regional drainage <br /> detention system. Said maintenance and upkeep obligation shall extend to preservation of <br /> drainage infrastructure located on or embedded within the Property, such as culverts, channels, <br /> swales, or pipes, and all work incident thereto shall be performed by Grantor on a recurring basis <br /> and at such times as necessary to ensure the proper functioning of the Property for drainage <br /> detention. In this regard, Grantor shall enjoy right of entry and reasonably related use privileges <br /> in connection with its obligation to maintain the Property. Grantor shall retain written proof that <br /> annual inspections and necessary maintenance are performed, with said proof being retained for <br /> a period of not less than five (5) calendar years and provided to Grantee upon request. This deed <br /> condition shall constitute a covenant running with the land and shall be binding upon the <br /> owner(s) of all or any portion of the Property, and their successors, heirs or assigns. Grantee <br /> reserves the right to enforce its rights under the covenant obligation in this paragraph, in a court <br /> of law. <br /> ALBERT J.
