-2- 2, for the benefit of Parcels 1 and 2, respectively, a non- exclusive, perpetual easement and right-of-way for the purpose described in Paragraph D of this Section I, on, over, across and along those portions of Parcel 3 described on Exhibit D hereto (the "Roadway Easement Tract"). B. TCDC, as the owner of Parcell ("Owner of Parcel I"), hereby grants to TCDC, as the owner of Parcel 3 and Parcel 2, for the benefit of Parcels 3 and 2, respectively, a non- exclusive, perpetual easement and right-of-way for the purposes described in Paragraph D of this Section I, on, over, across and along those portions of Parcel 1 described in the Roadway Easement Tract. C. TCDC, as the owner of Parcel 2 ("Owner of Parcel 2"), hereby grants to TCDC, as the owner of Parcel 3 and Parcell, for the benefit of Parcels 3 and 1, respectively, a non- exclusive, perpetual easement and right-of-way for the purposes described in Paragraph D of this Section I, on, over, across and along those portions of Parcel 2 described in the Roadway Easement Tract. D. The easements and rights-of-way granted in Paragraphs A, Band C of this Section I are for the purposes of ingress and egress for pedestrian and vehicular traffic over and upon the burdened Parcels to the benefitted Parcels. E. The Owner of Parcel 3 agrees to construct a paved roadway on the easement described in the Roadway Easement Tract. The cost of constructing said roadway shall be borne, sUbject to the provisions of Sections X and XI hereof, by the owners of Parcels 1, 2 and 3, respectively, in amounts to be determined by multiplying the cost of constructing such roadway by a ratio the numerator of which is the number of square feet in the respective owner's parcel and the denominator of which is the sum of the number of square feet in Parcels 1, 2 and 3.
