<br />-2- <br /> <br />2, for the benefit of Parcels 1 and 2, respectively, a non- <br />exclusive, perpetual easement and right-of-way for the purpose <br />described in Paragraph D of this Section I, on, over, across <br />and along those portions of Parcel 3 described on Exhibit D <br />hereto (the "Roadway Easement Tract"). <br />B. TCDC, as the owner of Parcell ("Owner of Parcel <br />I"), hereby grants to TCDC, as the owner of Parcel 3 and Parcel <br />2, for the benefit of Parcels 3 and 2, respectively, a non- <br />exclusive, perpetual easement and right-of-way for the purposes <br />described in Paragraph D of this Section I, on, over, across <br />and along those portions of Parcel 1 described in the Roadway <br />Easement Tract. <br />C. TCDC, as the owner of Parcel 2 ("Owner of Parcel 2"), <br />hereby grants to TCDC, as the owner of Parcel 3 and Parcell, <br />for the benefit of Parcels 3 and 1, respectively, a non- <br />exclusive, perpetual easement and right-of-way for the purposes <br />described in Paragraph D of this Section I, on, over, across <br />and along those portions of Parcel 2 described in the Roadway <br />Easement Tract. <br />D. The easements and rights-of-way granted in Paragraphs <br />A, Band C of this Section I are for the purposes of ingress <br />and egress for pedestrian and vehicular traffic over and upon <br />the burdened Parcels to the benefitted Parcels. <br />E. The Owner of Parcel 3 agrees to construct a paved <br />roadway on the easement described in the Roadway Easement <br />Tract. The cost of constructing said roadway shall be borne, <br />sUbject to the provisions of Sections X and XI hereof, by the <br />owners of Parcels 1, 2 and 3, respectively, in amounts to be <br />determined by multiplying the cost of constructing such roadway <br />by a ratio the numerator of which is the number of square feet <br />in the respective owner's parcel and the denominator of which <br />is the sum of the number of square feet in Parcels 1, 2 and 3. <br />The owners of Parcels 1, 2 and 3 shall be jointly responsible <br /> <br />e <br /> <br />e <br />
