<br />e <br /> <br />e <br /> <br />032~'5-0606 <br /> <br />This grant of non-exclusive, permanent and perpetual <br /> <br />right-of-way and easement is made subject to and strictly <br /> <br />conditioned upon the following terms, agreements, reservations, <br /> <br />conditions, covenants, limitations and exceptions: <br /> <br />1. Grantee may construct, install, maintain, repair, <br />replace, remove and operate the Water Line <br />Facilities across, along, under and upon the <br />Easement Property and may enter upon the Easement <br />Property to engage in such acti vi ties as may be <br />necessary, requisite, convenient or appropriate in <br />connection therewith. <br /> <br />2. Grantor hereby reserves to itself, its successors <br />and assigns, the right at any time and from time <br />to time to (i) construct, install, maintain, <br />operate, repair, replace or remove any and all <br />roads, driveways, sidewalks, parking lots, fences, <br />ditches, utility lines, mains, bridges and other <br />related facilities and structures, but <br />specifically excluding buildings, over, under, <br />through and across the Easement Property; (ii) <br />plat the Easement Property, along with any other <br />property adjoining the Easement which is owned by <br />Grantor (the "Adjoining Property"), and impose <br />restrictions thereon and otherwise deal in and <br />with the Easement Property in conjunction with <br />Grantor's development of all or any portion of the <br />Easement Property and/or Adjoining Property; and <br />(iii) to grant to others the rights to engage in <br />any of the foregoing activities; provided however, <br />that such reserved rights shall be exercised in a <br />manner that will not impede Grantee's access to <br />the Easement Property or otherwise materially <br />interfere with Grantee's rights hereunder. <br />Further, Grantor reserves all oil, gas, and other <br />minerals in, on, or under the Easement Property, <br />but waives all rights of ingress and egress for <br />the purpose of exploring, developing, mining or <br />drilling for same; provided however, that nothing <br />in this Agreement shall prohibit or in any manner <br />restrict the right of Grantor to develop the <br />Easement Property, along with the Adjoining <br />Property, for oil, gas and other minerals by <br />directional drilling from a nearby site, subject <br />however to any applicable city of La Porte <br /> <br />- 2 - <br />
