In connection with any such taking or conveyance of <br />any portion of the improvements constructed at the leased land, <br />Lessee shall promptly take such action as is necessary to clean up <br />and remove all debris and place the Leased Premises in a neat and <br />sanitary condition. Such action shall be taken by Lessee with due <br />diligence as soon as is practicable and at Lessee's sole cost and <br />expense. <br /> <br />. Section 12.04. In the event that any authority having the power of <br />eminent domain requests that Lessor convey to such authority all or <br />any portion of the Leased Premises, Lessor shall have the right to <br />make a voluntary conveyance to such authority of all or any portion <br />of the Leased Premises whether or not proceedings have been filed <br />by such authority; and in the event of any such voluntary <br />conveyance, it shall nevertheless for all purposes hereunder be <br />deemed that there has been a taking by such authority of the <br />property voluntarily conveyed by Lessor. Accordingly, all of the <br />provisions of sections 12.01, 12.02 and 12.03 hereof shall be <br />applicable notwithstanding such voluntary conveyance. <br /> <br />. <br /> <br />Article XIII. Encumbrance of Leasehold Estate <br /> <br />. <br /> <br />section 13.01. Lessee may not mortgage, hypothecate, encumber or <br />grant any deed of trust or mortgage ("Mortgage") covering the <br />leasehold estate created under this Lease or any interest therein <br />or any improvements thereon nor may Lessee collaterally assign any <br />rent or other income). <br /> <br />Section 13.02. The leased land shall not be deemed in any way <br />pledged or mortgaged by this Lease nor by any other agreement <br />executed in connection with this Lease, and the State of Texas, by <br />execution of this Lease, shall not in any manner lend its credit to <br />any private corporation, association, partnership or other person <br />in connection with the execution of this Lease. <br /> <br />Section 13.03. Lessor and Lessee shall execute and deliver to each <br />other, at such time or times as ei ther Lessor or Lessee may <br />request, a certificate stating: <br /> <br />A. Whether or not the Lease is in full force and effect; <br /> <br />B. Whether or not the Lease has been modified or amended in <br />any respect, and submitting copies of such modifications or <br />amendments, if any; <br /> <br />c. Whether or not there are any existing defaults under this <br />Lease to the knowledge of the party executing the certificate, and <br />specifying the nature of such defaults, if any; and <br /> <br />D. Such other information as may be reasonably requested. <br /> <br />The aforesaid certificate(s) shall be delivered to Lessor or <br />Lessee, as the case may be, promptly upon written receipt of such <br />
