<br />That PPG INDUSTRIES, INC., a Pennsylvania corporation
<br />("Grantor"), for and in consideration of Ten and No/lOa Dollars
<br />\..J($10.00) cash and other good and valuable consideration paid by the
<br />WCITY OF LA PORTE ("Grantee"), a Municipal Corporation, the receipt
<br />and sufficiency of which are hereby acknowledged and confessed, has
<br />this day GRANTED, BARGAINED, SOLD AND CONVEYED and by these
<br />presents does GRANT, BARGAIN, SELL AND CONVEY unto said Grantee,
<br />and to its successors and assigns the right, privilege and
<br />easement, with appropriate rights of ingress and a working area for
<br />construction and maintenance pursuant to the terms hereof, to enter
<br />upon and construct, reconstruct, maintain, operate, inspect,
<br />replace, repair and remove one (1) public sanitary sewer line and
<br />one (1) public waterline, together with all appurtenances thereto,
<br />over, across, through and under that certain tract or parcel of
<br />land lying and being situated in Harris County, Texas, and being
<br />more particularly described on Exhibit "A" attached hereto and made
<br />a part hereof for all purposes (the "Sewer/Water Easement Area") .

<br />TO HAVE AND TO HOLD the above described easement, together
<br />with all and singular the rights and appurtenances thereto in
<br />anywise belonging unto said Grantee, and its successors and
<br />assigns, in accordance with the terms and conditions set forth
<br />below, the Grantor does hereby bind itself, its successors or
<br />assigns to WARRANT AND FOREVER DEFEND, all and singular the said
<br />easement unto the Grantee, its successors or assigns, against every
<br />person whomsoever lawfully claiming or to claim the same or any
<br />part thereof by, through or under Grantor, but not otherwise.

<br />This Sanitary Sewer and Waterline Easement (this "Agreement") shall
<br />be subject to the following reservations, provisions, conditions,
<br />covenants and exceptions set forth below:
<br />
<br />1. General Use. Grantee shall limit and confine Grantee's
<br />construction, operations, maintenance, repair and other activities
<br />to the Sewer/Water Easement Area, unless written permission
<br />otherwise is first obtained from the Grantor. Notwithstanding
<br />anything to the contrary herein, Grantor reserves the right for
<br />itself and its successors and assigns to use and enjoy, and grant
<br />others the right to use and enjoy, the Sewer/ Water Easement Area,
<br />provided the exercise of such rights does not unreasonably
<br />interfere with the rights granted to Grantee herein.
