<br />That the LA PORTE INDEPENDENT SCHOOL DISTRICT ("Grantor"), an independent school district in
<br />the State of Texas, for and in consideration of Ten Dollars ($10.00) cash and other good and valuable
<br />consideration paid by the CITY OF LA PORTE ("Grantee"), a Municipal Corporation, the receipt and
<br />sufficiency of which is hereby acknowledged and confessed, has this day GRANTED, BARGAINED, SOLD
<br />AND CONVEYED and by these presents do GRANT, SELL AND CONVEY unto said Grantee, and to its
<br />successors and assigns the perpetual right, privilege and easement, with appropriate rights of ingress and
<br />reasonable working area for construction and maintenance, to enter upon and construct, reconstruct,
<br />maintain, operate, inspect, replace, repair and remove a pedestrian pathway, together with all
<br />appurtenances thereto, including, but not limited to, lighting, vegetation, bicycle racks, trees, and park
<br />benches; over, across, through and under that certain tract or parcel of land lying and being situated in
<br />Harris County, Texas, and being more particularly described on Exhibit "A" attached hereto and made a
<br />part hereof for all purposes.

<br />TO HAVE AND TO HOLD the above described easement, together with all and singular the rights
<br />and appurtenances thereto in anywise belonging unto said Grantee, and its successors and assigns, in
<br />accordance with the terms and conditions hereinabove set forth, the Grantor does hereby bind itself, its
<br />successors and assigns to WARRANT AND FOREVER DEFEND, all and singular the said easement unto the
<br />Grantee, its successors or assigns, against every person whomsoever lawfully claiming or to claim the same
<br />or any part thereof, by, through, or under Grantor, but not otherwise.
<br />
<br />Grantor and Grantee further acknowledge and agree that the Pedestrian Pathway Easement is the
<br />final expression of their agreement concerning the easement descri~jd on Exhibit "A" attached hereto.
