<br />referred to as GRAN"I'EE"), wherein GRANTOR, in consideration of the sum of T'EN AND

<br />aclrnowledged, does by these presents, GRANT, BARGAIN AND SELL, CONVEY AND
<br />CONFIRM unto GRANTEE, its affiliates and subsidiaries, and their successors, assignees, lessees.,
<br />licensees and agents (hereim ftcr collectively referred to as "GRANTEE"), a permanent non-
<br />exclusive 10, x 141, easement (hereinafter referred to as the "Easement') located i- Han -is County,
<br />Texas, (hereinafter called 'the Property"), and described as follows, to wits
<br />Being the 80, wide Madison Street Right -of -Way situated in the Johnson
<br />Bunter Survey, Abstract Number 35, Harris County, Toaas, being located
<br />south of Lot 16, Blocic 101, of the Town of La Porte, according to the map or
<br />plat recorded in Volrame SS, Page 463 of the D-1 Records of Harris County,

<br />"This afire-iaent does not constitute a conveyance of the Property, nor of the x-inerals
<br />therein and thereunder, but grants only art Easement subject to the Following_
<br />(a) T-his T----nt is granted for the purpose of P—itting GRANTEE to --t.- -t,
<br />operate, maintain, protect, repair, relocate, upgrade, replac-, and remove such poles, guy wires,
<br />anchors, and underground communications, data, video and information syst-ms and lines,
<br />circuits, and conduits, together with such other appurtenances thereto (collectively the "Facilities"),
<br />as GRANTEE may from time to time require upon, across, over, abe--, under and within tho
<br />Easement
<br />(b) GRANTOR further conveys to GRANTEE the Following incid-atal rights and
<br />powers_ the right -f pad -striae and vehicular ingress to and egress from said Easement utilizing
<br />reasonable routes across the Property, including but not limited to the right to use existing and
<br />future roads, parking lots, entrances and exits and all other paved areas of the Property; the right
<br />to drain or sheet flow storm water runoff from the Easement onto the Property and/or into
<br />existing and future storm water collection and drainage facilities located within the Property; the
<br />right to clear and keep cleared trees, brush, and all other obstructions from the surface and
<br />subsurface of said Easement; the right to place on the surface of the Easement manholes covers
<br />flush with the surface of the Easement, pol-s, anchors and down guys, cable risers, connector
<br />terminals, repeaters, testing terminals and route markers; the right to construct, operate and
<br />maintain, service lines for electric power or license others to do so; seed, the right to install,
<br />mair,taia, and use gates iu Fences which cross said Easement acid pre --at GRANTEE'S reasonable
