<br />• <br />THE STATE OF TEXAS § <br />COUNTY OF HARRIS § <br />A G R E E M E N T <br /> <br />This Agreement made and entered into by and between the CITY OF <br />LA PORTE, a municipal corporation of Harris County, Texas, hereinafter <br />called "CITY" and the LA PORTE AREA EMERGENCY CORPS, a Texas non-profit <br />corporation of Harris County, Texas, hereinafter called "CORPS". <br />I. <br />For and in consideration of the mutual covenants herein contained, <br />• the parties hereto agree as follows. <br />II. <br />Effective at 12:01 A.M. Central Standard Time, on October 1, 1984, <br />CORPS shall cease operations, and CITY shall assume all responsibility <br />,. <br />for the provision of an emergency ambulance service within the corporate <br />limits of the City of La Porte, and with other entities with which <br />CORPS has valid, subsisting contracts to provide emergency ambulance <br />service. Effective October 1, 1984, CITY agrees to assume all assets, <br />and all liabilities, of CORPS. As soon as possible after October 1, <br />1984, CORPS shall file a Certificate of Dissolution of its corporate <br />existence with the Texas Secretary of State. <br />III. <br />• Employees of CORPS shall be eligible ~to apply for employment <br /> with CITY; however, nothing in this Agreement shall be construed as <br />an obligation upon the part of CITY to offer or extend employment to <br />any present employee of CORPS. Employment decisions by CITY will be <br />in accordance with CITY'S established personnel policies. Nothing <br />contained herein shall obligate any present employee of CORPS to apply <br />for employment with CITY. CITY shall consider applications for <br />• employment by present employees of CORPS, on an individual basis. <br />Any present employees of CORPS employed by CITY, shall be considered <br />new employees of CITY, and no period of employment of such employees <br />P~ ~ <br />
