<br />- <br /> <br />e <br /> <br />11. As consideration for La Porte I s agreeing to the above <br />conditions, Boe agrees to withdraw its opposition to La Porte's <br />pending application to the TDH for a solid waste disposal permit <br />for the Landfill and not to oppose same in any other forum. <br />Addi tionally, Boe shall not in any way encourage, directly or <br />indirectly, including financial contributions, other than <br />mandatory dues and assessments paid to Bayport Industrial <br />Association, any other person, firm, or entity to oppose or in <br />any other manner attempt to prevent La Porte from operating the <br />Landfill that is the subject of this Agreement. Provided, <br />however, Boe is in no way limited in exercising whatever rights <br />or remedies which may be available to see that the Landfill is <br />operated in compliance with applicable regulatory requirements, <br />to enforce the terms of this Agreement, or to protect its <br />facility or recover damages in the event the remedial actions <br />provided for in Paragraph 9.5 are inadequate to prevent the <br />methane specification of 25 ppm from being exceeded in Boe's <br />oxygen product. <br />12. The terms of this Agreement and other restrictions are <br />40 years, or the longest period permitted by the laws of the <br />state of Texas. <br />13. The Parties understand and agree that if for any reasons <br />La Porte does not receive a permit to operate a landfill at the <br />site contemplated by this Agreement, or for whatever reason does <br />not begin the disposal of waste at the site, all provisions of <br /> <br />11 <br />
