~ • <br />and all questions which may arise as to the acceptability of services rendered and <br />as to the manner of performance, all questions which arise as to the interpretation <br />of the conditions and specifications, and all questions as to the acceptable <br />fulfillment of the contract. The City reserves the right to issue alcohol permits and <br />to allow certain groups to obtain temporary liquor or beer and wine licenses from <br />the Texas Alcoholic Beverage Commission, separate from the terms of this <br />contract. <br />The Concessionaire shall not assign, transfer, convey, sublet or otherwise dispose of the <br />contract, or any part thereof, to any person, partnership, company or corporation without prior <br />written consent of the City of La Porte. <br />IV. <br />The Concessionaire shall procure all permits and licenses, pay all charges and fees necessary <br />and incidental to the due and lawful conduct of the services. He shall keep himself fully informed <br />of all existing and future National, State and Local laws, ordinances and regulations that in any <br />manner affect the fulfillment of the contract and comply with same (City of La Porte fees shall be <br />waived). <br />The Concessionaire will be responsible for any and all additions and/or changes in <br />equipment design and layout necessary to comply fully with local Health and Fire <br />Department regulations. Additional electrical service, plumbing or drain lines shall be <br />approved by the City of La Porte, prior to planning and installation. Actual installation shall <br />be according to all applicable State laws, regulations and ordinances of City of La Porte. <br />Concessionaire must also provide approved filters for any and all exhaust systems that <br />may be utilized or installed. <br />V. <br />The Concessionaire shall provide a Business Service Bond covering every and all requirements <br />of the contract, in the amount of $3,000 shall be fumished concurrent with the execution of the <br />contract. In lieu of a bond, a negotiable Certificate of Deposit from a bank in Hams County, <br />Texas, or a Letter of Credit from a bank in Hams County, Texas may be fumished. <br />VI. <br />The Concessionaire agrees as its sole liability to indemnify, defend, protect, and hold harmless <br />the City of La Porte, its officers, employees, agents and/or assigns from liability, responsibility, <br />or losses arising out of any negligent act or omission or any willful wrongdoing on the part of the <br />Concessionaire its officers, employees, agents and/or assigns. <br />
