LOCAL GOVERNMENT CODE CHAPTER 501. PROVISIONS GOVERNING DEVELOPMENT CORPORATIONS <br />application requesting the unit to authorize creation of a corporation to act on <br /> behalf of the unit. The governing body may not charge a filing fee for the <br />application. <br />(b) A corporation may be created only if the governing body of the unit <br />by resolution: <br />(1) determines that the creation of the corporation is advisable; and <br />(2) approves the certificate of formation proposed to be used in <br />organizing the corporation. <br />(c) A unit may authorize the creation of one or more corporations if the <br />resolution authorizing the creation of each corporation specifies the public <br />purpose of the unit to be furthered by the corporation. CORPORATION NONPROFIT; NET EARNINGS. (a) A corporation is <br />nonprofit, and the corporation's net earnings remaining after payment of its <br />expenses may not benefit an individual, firm, or corporation, except as provided <br /> by Subsection (b). <br />(b) If the board of directors determines that sufficient provision has <br />been made for the full payment of the corporation's expenses, bonds, and other <br />obligations, any net earnings of the corporation subsequently accruing shall be <br />paid to the corporation's authorizing unit. <br />Added by Acts 2007, 80th Leg., R.S., Ch. 885 (H.B. 2278), Sec. 3.01, eff. (a) A <br />corporation has the powers, privileges, and functions of a nonprofit corporation <br /> incorporated under the Texas Non-Profit Corporation Act (Article 1396-1.01 et <br />seq., Vernon's Texas Civil Statutes) or formed under the Texas Nonprofit <br />Corporation Law, as described by Section 1.008, Business Organizations Code.
