Governing Law <br />6.5. This Restriction Agreement is entered into and is intended to be <br />performed in the State of Texas, and the validity, enforceability, interpretation and construction <br />hereof shall be determined and governed by the laws (other than conflict of laws provisions) of <br />the State of Texas. Venue for any action shall be in the state district court of Harris County, <br />Texas. The parties agree to submit to the personal and subject matter jurisdiction of said court. <br />Recording <br />6.6. The parties agree that City may record this Restriction Agreement in the <br />Official Public Records in the office of the Harris County Clerk. <br />Covenants Run with the Property. <br />6.7This Restriction Agreement and the restrictions, <br />covenants, and conditions set forth herein are for the purpose of protecting the value and <br />desirability of the Property as well as to carry out compliance with Tex. Loc. Govt. Code <br />§272.001(a)(4), as amended, and, consequently, shall run with the Property and be binding on <br />the Developer and all parties having all right, title, or interest in the Land, in whole or in part, <br />and their heirs, successors and assigns. These covenants, conditions and restrictions shall be for <br />the benefit of the City of La Porte, Texas.This Restriction Agreement is binding upon <br />Developer and each and every subsequent owner, tenant, subtenant, licensee, manager, and <br />occupant of all or any portion of the Property, but only during the term of such party’s <br />ownership, tenancy, license, management or occupancy of the Property, for which such party <br />shall remain liable and shall be binding upon and inure to the benefit of the City and its <br />successors and assigns. It is expressly understood and agreed that acceptance of title to all or a <br />portion of the Property shall automatically, and without further acknowledgement or <br />confirmation from the owner, constitute such owner’s assumption of the obligations of <br />Developer hereunder. <br />Severability <br />6.8. Invalidation of any one of these covenants, conditions, or restrictions by <br />judgment or court order shall in no way affect any other provisions, and all other provisions shall <br />remain in full force and effect. <br />Entire Agreement. <br />6.9This Agreement constitutes the entire agreement between the parties <br />hereto with respect to the subject matter hereof, and no statement, promise, representation or <br />modification hereof by any person, if any, and whether oral or written, shall be binding upon any <br />party. <br />Counterparts <br />6.10. This Agreement may be executed by the parties hereto in separate <br />counterparts; each of which when so executed and delivered shall be an original, but all such <br />counterparts shall together constitute one and the same instrument.
