The GLO, in its sole discretion, may deny payment and de - <br />obligate remaining funds from the Contract upon expiration or termination of the <br />Contract. The GLO's ability to de -obligate funds under this Section 2.02 <br />notwithstanding, the GLO shall pay all eligible reimbursement requests that are timely <br />submitted. <br />2.03 VARIANCE <br />Amendments to decrease or increase the subaward amount or to add or delete an Activity <br />may be made only by written agreement of the Parties, under the formal Amendment <br />process described in Section 8.16, below. The GLO may, in its sole discretion and in <br />conformance with federal law, approve other adjustments required during Project <br />performance through a Revision or Technical Guidance Letter. Such approvals must be in <br />writing and may be delivered by regular or electronic mail. <br />SUBRECIPIENT SHALL SUBMIT A FINAL BUDGET AND ACTUAL EXPENDITURES AS PART <br />OF THE GRANT COMPLETION REPORT TO THE GLO PRIOR TO CONTRACT EXPIRATION <br />OR TERMINATION OR AT THE CONCLUSION OF ALL CONTRACT ACTIVITIES, WHICHEVER <br />OCCURS FIRST. THE GRANT COMPLETION REPORT SHALL BE IN A FORMAT PRESCRIBED <br />BY THE GLO AND SHALL CONFIRM ELIGIBILITY AND COMPLETION OF ALL ACTIVITIES <br />PERFORMED UNDER THIS CONTRACT. FAILURE TO SUBMIT THE FINAL BUDGET AND <br />ACTUAL EXPENDITURES TO THE GLO AS PART OF THE GRANT COMPLETION REPORT <br />PRIOR TO CONTRACT EXPIRATION OR TERMINATION WILL RESULT IN FORFEITURE AND <br />DE -OBLIGATION OF REMAINING, UNREQUESTED FUNDS. <br />Upon completion of the Project, the GLO shall formally close out the Project by issuing a <br />closeout letter to Subrecipient. <br />2.04 PROGRAM INCOME <br />In accordance with 24 C.F.R. § 570.489(e), Subrecipient shall maintain records of the <br />receipt and accrual of all program income, as "program income" is defined in that <br />section. Subrecipient shall report program income to the GLO in accordance with Article <br />IV of this Contract. Subrecipient shall return all program income to the GLO at least <br />quarterly. <br />2.05 SUBAWARD OFFER SUBJECT TO CANCELLATION <br />IF SUBRECIPIENT DOES NOT RETURN THE ORIGINAL SIGNED CONTRACT TO THE GLO <br />WITHIN SIXTY (60) DAYS OF TRANSMITTAL OF THE CONTRACT TO SUBRECIPIENT, <br />SUBAWARD FUNDING FOR THE PROJECT MAY BE SUBJECT TO CANCELLATION, IN THE <br />SOLE DISCRETION OF THE GLO. <br />ARTICLE III - DURATION, EXTENSION, AND TERMINATION OF CONTRACT <br />3.01 DURATION OF CONTRACT AND EXTENSION OF TERM <br />This Contract shall become effective on the date on which it is signed by the last Parry <br />and shall terminate on June 30, 2025, or upon the completion of all Benchmarks listed in <br />Attachment A and required closeout procedures, whichever occurs first.
