DocuSign Envelope ID: 348BB866-CFC7-422D-BFB7-863533B13759 <br />that its vendors and subcontractors are not debarred from receiving state or federal funds <br />at each of the following web addresses: <br />(a) the Texas Comptroller's Vendor Performance Program at <br />https:HcomDtrolIer.texas.�zov/purchasing/; and <br />(b) the U.S. General Services Administration's System for Award Management at <br />htti)s://www.sam.Gov/. <br />8.06 EQUIPMENT AND COMPUTER SOFTWARE <br />Any purchase of Equipment or computer software made pursuant to this Contract shall be <br />made in accordance with all applicable laws, regulations, and rules, including those <br />defined in 2 C.F.R. § 200.313. <br />In accordance with 24 C.F.R. § 570.502(a), if Equipment is acquired, in whole or in part, <br />with funds under this Contract and is then sold, the proceeds shall be considered program <br />income, as defined in Section 2.04 above. Equipment not needed by Subrecipient for <br />Activities under this Contract shall be (a) transferred to the GLO for the CDBG-MIT <br />Program or (b) retained by Subrecipient after compensating the GLO an amount equal to <br />the current fair market value of the Equipment less the percentage of non-CDBG-MIT <br />funds used to acquire the Equipment. <br />8.07 COMMUNICATION WITH THIRD PARTIES <br />The GLO and the authorities named in Article VII, above, may initiate communications <br />with any subcontractor of Subrecipient, and may request access to any books, documents, <br />personnel, papers, and records of a subcontractor which are pertinent to this Contract. <br />Such communications may be required to conduct audits, examinations, Davis -Bacon <br />Labor Standards interviews, and gather additional information as provided in Article VII <br />herein. <br />8.08 RELATIONSHIP OF THE PARTIES <br />Subrecipient is associated with the GLO only for the purposes and to the extent specified <br />in this Contract. Subrecipient is and shall be an independent contractor and, subject only <br />to the terms of this Contract, shall have the sole right to supervise, manage, operate, <br />control, and direct performance of the details incident to its duties under this Contract. <br />Nothing contained in this Contract creates a partnership or joint venture, an employer - <br />employee or principal -agent relationship, or any liability whatsoever with respect to the <br />indebtedness, liabilities, or obligations of Subrecipient or any other party. Subrecipient <br />shall be solely responsible for, and the GLO shall have no obligation with respect to, the <br />following: the withholding of income taxes, FICA, or any other taxes or fees; industrial <br />or workers' compensation insurance coverage; participation in any group insurance plans <br />available to employees of the State of Texas; participation or contributions by the State of <br />Texas to the State Employees Retirement System; accumulation of vacation leave or sick <br />leave; or unemployment compensation coverage provided by the State of Texas. <br />GLO Contract No. 22-119-004-D374 <br />Page 19 of 29 <br />
