(c) After each Cities' review and comment on the final Project design, PHA will approve the <br />plans and specifications for the Project and prepare all appropriate documents and notices to solicit <br />competitive bids for the construction of the Project. <br />(d) PHA will bear all costs associated with the design and competitive bidding of the Project. <br />Section 1.3: Installation of the Proiect. <br />(a) The Cities will dedicate, if necessary, landscape and sign easements to PHA on any <br />right-of-way that the Cities own. <br />(b) PHA will administer the contract for the installation of the Project (the "Installation <br />Contract") in accordance with the approved Project plans and specifications. PHA shall provide <br />supervision of the Project installation through completion. <br />(c) PHA will bear all costs associated with the Installation Contract up to $1,000,000. If the <br />Installation Contract costs exceed $1,000,000, the Cities will reimburse PHA the amount in excess of <br />$1,000,000. Any reimbursement will be paid not later than 45 days after PHA finally accepts the <br />Installation Contract as complete. As between the Cities, any excess amount will be shared equally. <br />ARTICLE II <br />MAINTENANCE AND OPERATION <br />Section 2.1: Landscaping and Irrigation Facilities Maintenance Costs. <br />(a) The Parties will share the maintenance and operation costs of the Landscaping and <br />Irrigation Facilities jointly in the following proportions: <br />(i) PHA=40%; <br />(ii) Morgans Point=30%; and <br />(iii) La Porte= 30%. <br />(b) Within 30 days after the final completion of the Installation Contract, PHA will <br />competitively bid a contract for the maintenance of the Landscaping and Irrigation Facilities for the <br />remainder of the calendar year. Upon receipt of the bids, PHA will provide notice of the successful bid to <br />the Cities. The -bid amount plus 15% contingency will be the "Annual Budget" for the remainder of the <br />calendar year. <br />(c) On or before each September 1, 2001 and each September 1 thereafter, PHA will <br />competitively bid a contract for the maintenance of the Landscaping and irrigation Facilities for the <br />subsequent calendar year. Upon receipt of bids each year, PHA will provide notice of the successful bid <br />to the Cities. The bid amount plus 15% contingency will be the "Annual Budget" for the subsequent <br />calendar year. <br />(d) After the Annual Budget for any year is established, and after PHA provides notice of the <br />Annual Budget to the Cities, the Cities shall pay to PHA their pro-rata share of the Annual Budget not <br />later than the December 31st prior to the beginning of that calendar year. <br />(e) PHA will deposit its pro-rata share of the Annual Budget and the Cities' pro-rata share of <br />the Annual Budget in an account called the "Barbours Cut Landscaping Account" and will separately <br />maintain this account solely for the purposes of maintaining the Landscaping and Irrigation Facilities. <br />PHA will provide the Cities with an annual accounting of the'expenditures from the account. <br />' (f) If during the calendar year, PHA determines that the amount deposited in the account is <br />insufficient to meet PHA's obligation to maintain the Landscaping and Irrigation Facilities, PHA shall give <br />the Cities notice of such deficiency and the estimated amount required to maintain the Landscaping and <br />2-9 <br />
