• <br />• <br />• <br />Section 9: Contract Termination. <br />A. Termination of Contract for Cause. If, through any reasonable <br />cause, Engineer shall fail to fulfill in timely and proper <br />manner its obligations under this Contract, or if Engineer <br />shall violate any of the covenants, agreements or stipulations <br />• of this Contract, the Client shall thereupon have the right <br />to terminate this Contract by giving written notice to <br />Engineer of such termination and specifying the effective <br />date of such termination. In that event, all finished and <br />unfinished documents, data, studies, surveys, drawings, maps, <br />models, photographs and reports prepared by Engineer shall <br />at option of the Client, become the property of the Client <br />and Engineer shall be entitled to receive just and equitable <br />compensation for any satisfactory work completed on such doc- <br />uments and other material. <br />B. Termination for Convenience of the Client. The Client may <br />• terminate this Contract at any time by a notice in writing <br />from the Client to Engineer in that event, all unfinished <br />documents and other materials described in Paragraph 9 above <br />shall, at the option of the Client, become the property of <br />the Client. If the Contract is terminated by the Client as <br />provided herein, Engineer will receive final payment from <br />the Client in an amount not less than the actual costs in- <br />curred by Engineer for and during the duration of the Con <br />tract. This payment will be made only after Engineer has <br />filed a project status report and the completion of a final <br />audit performed by the Client. <br />-4- <br />~ ~~ <br />
