<br />e <br /> <br />e <br /> <br />ARTICLE III <br /> <br />Officers <br /> <br />Section 1. PRESIDENT: The President shall be the Chief Execu- <br /> <br />tive Officer of the corporation. <br /> <br />He shall preside at all meetings <br /> <br />of the Board of Directors. He shall have power to appoint all stand- <br /> <br />ing commi ttees herein or hereinafter created, other than the Execu- <br /> <br />tive Committee and the Nominating Committee. <br /> <br />Section 2. VICE PRESIDENT: <br /> <br />In the absence of the President, <br /> <br />the Vice President shall assume the duties of the President. <br /> <br />Section 3. IMMEDIATE PAST PRESIDENT: <br /> <br />Whenever the President <br /> <br />shall be succeeded by a newly elected President, the outgoing Presi- <br /> <br />dent shall be an officer of the corporation, designated as Immediate <br /> <br />Past President, and his term of office shall be the same as the term <br /> <br />of office of the President who replaced him. In the absence of both <br /> <br />the President and Vice President at any Board ~eeting, the Immediate <br /> <br />Past President shall serve as presiding officer at such duly called <br /> <br />Board Meeting. <br /> <br />Section 4. SECOND VICE PRESIDENT: The Board of Directors may, <br /> <br />at the discretion of the Board of Directors, elect a Second Vice <br /> <br />President at any duly called meeting for the election of officers. <br /> <br />If so elected, his term of office shall be the same as that of the <br /> <br />Vice President, unless sooner terminated by the Board. The Second <br />Vice President may, but need not be a member of ~he Board of Direc- <br /> <br />tors, but if not a member of the Board of Directors, he shall not <br /> <br />-3- <br />
