NUMBER AND RESPONSIBILITIES OF DIRECTORS: The <br />business and management of the property and affairs of the.corporation <br />shall be the responsibility of the Board of Directors. The Board of <br />Directors shall be composed of not less than three (3), nor more than <br />nine (9) persons, the exact number to be fixed from time to time by <br />the Board of Directors at any duly convened meeting 9f the Board of <br />Directors. The Immediate Past President shall serve as a Director <br />for one (1) year after being succeeded in the office of President, <br />unless he shall have been duly elected to the Board of Directors <br />for a longer term~ <br />The duly appointed Ci ty Manager of the Ci ty of La Porte shall <br />Qe a non-voting "Ex Officio" member of the Board of Directors of <br />this corporation and his term of office shall coincide .with his <br />tenure of office as City Manager. <br />At any duly convened meeting of the Board of Direc tors, upon a <br />two-thirds (2/3) majority vote of the voting members of the Board, <br />voting in person or by proxy, may elect one or more non-voting "Ex <br />Officio" members to the Board of Directors. Such "Ex Officio" mem- <br />ber shall have the same tenure of office as other duly elected <br />voting members of the Board of Directors. <br /> <br />-6- <br />
