<br />e <br /> <br />e <br /> <br />ARTICLE V <br />Voting and Election Procedure for Officers <br /> <br />Section 1. NOMINA'fING COMMITTEE: At the last regular meeting <br />preceding each annual meeting of the Board, a Nominating Committee <br />shall be elected by the Board, which shall consist of not more than <br />five (5) persons, at least three (3) of whom shall be voting members <br />of the Board of Directors. <br /> <br />Section 2. NOMINATION OF OFFICERS: At the organizational session <br /> <br /> <br />of the next annual meeting of the Board of Directors, said Committee <br /> <br />shall submit to the Board of Directors a list of qualified nominees <br /> <br />for each office in the corporation wherein a vacancy will exist at <br /> <br /> <br />the close of said annual meeting ~nder the provisions of these Bylaws. <br /> <br /> <br />Said Nominating Committee, at its ~iscretion, may nominate one or <br /> <br />more persons for each position in which a vacancy will occur, but no <br /> <br />name shall be placed in nomination by the Nominating Committee <br /> <br /> <br />unless the consent of the prospective nominee has been theretofore <br /> <br />secured. After the report of the Nominating Commi t tee has. been <br /> <br /> <br />made, any voting member of the Board of Directors may make nominations <br /> <br />from the floor, but no such nomination from the floor shall be con- <br /> <br />sidered unless there is a seconding of the nomination so made. <br /> <br />Section 3. ELECTION OF OFFICERS: The Officers to fill the_ <br />offices wherein a vacancy will exist by the end of the Annual Meet- <br />ing shall be elected by secret ballot, by the voting members of the <br /> <br />-13- <br />
