SPRADLING, Vice President, of FAIRMONT PARR HOMES ASSOCIATION, INC., a Texas non-profit corporation, do hereby certify that the following is a true and correct copy, as extracted from the official minutes of FAIRMONT PARK HOMES ASSOCIATION, INC., of the following Resolution of the Board of Directors: At a special meeting of the membership of the corporation on March 11, 1991, by motion duly made, seconded and passed by majority vote, it was RESOLVED that FAIRMONT PARK HOMES ASSOCIATION, INC., convey the following described real estate, to-wit: See Exhibit "A" attached hereto and made a part hereof for all purposes. as a gift and donation to the City of La Porte, a municipal corporation; such conveyance being a part of an agreement by and between FAIRMONT PARK HOMES ASSOCIATION, INC. and the City of La Porte. It was further RESOLVED that the Vice President be authorized to execute and deliver a General Warranty Deed to the above described property, and to execute any and all other necessary instruments to effect the closing of this conveyance. I, JIMMIE R. SPRADLING, Vice President of FAIRMONT PARR HOMES ASSOCIATION, INC., a Texas non-profit corporation, do hereby certify that the Resolution, a copy of which was above set out, was duly adopted and passed by the Board of Directors of said corporation, at a meeting held in La Porte, Texas, on the 11th day of March, 1991.
