<br />e <br /> <br />e <br /> <br />Section 5. <br /> <br />Term. This Escrow Agreement shall remain in full force and effect until: <br /> <br />(i) Escrow Agent has fully complied with the provisions of Section 2(a), (b) or <br />(c) ; or <br />(ii) A court of competent jurisdiction has disposed of the rights and <br />obligations of the parties pursuant to the provisions of Section 4. <br /> <br />Section 6. Fees. LPAWA, at its sole cost and expense, shall promptly pay all <br />escrow fees and other charges made by Escrow Agent for its service under this Escrow <br />Agreement upon receipt of notice from Escrow Agent that such fees and charges are due. <br /> <br />Section 7. LPAWA Representative. The Escrow Agent shall be entitled to rely upon <br />any written reque::;t signed by the General Manager of LPAWA for any action directed by <br />LPAWA hereunder~ <br /> <br />Section 8 . Notice. Any notice provided for or permitted to be given under this <br />Escrow Agreement must be in writing and may be served by depositing same in the United <br />States mail, addressed to the party to be notified, postage prepaid and registered or certified <br />with return receipt requested; by delivering same in person to such party; or by prepaid telegram <br />or telex. Notice given in accordance herewith shall be effective upon receipt For the purposes <br />of notice, the addre!sses of the parties shall be as follows: <br /> <br />If to GCWA, to: Gordon L. Fairmont Parkway <br />La Porte, Texas nS71 <br /> <br />If to the Escrow Agent, to: Chase Bank of Texas, National Association <br /> <br />From time to time, any party may designate another address for all purposes of this <br />Escrow Agreement by giving to the other parties not less than five (5) days advance written <br />notice of such change of address. <br /> <br />Section 9. Assianment. This Escrow Agreement shall not be assignable by any <br />party without the prior written consent of the other parties. <br /> <br />16 <br />
