SPECIAL CONDITIONS <br /> <br />The Subrecipient agrees to comply with the requirements of Title 24 Code of Federal <br />Regulations, Part 570 of the Housing and Urban Development regulations concerning <br />Community Development Block Grants (CDBG) and all federal regulations and policies <br />issued pursuant to these regulations. The Subrecipient further agrees to utilize funds <br />available under this Agreement to supplement rather than supplant funds otherwise <br />available. <br /> <br />VI. GENERAL CONDITIONS <br /> <br />A. General Compliance <br /> <br />The Subrecipient agrees to comply with all applicable federal, state and local laws and <br />regulations governing the funds provided under this Agreement, including Executive <br />Order 12372 governing the review and coordination of Federally Assisted Program and <br />Projects. <br /> <br />B. Indeoendent Contractor <br /> <br />Subrecipient shall operate hereunder as an independent Contractor and not as an officer, <br />agent, servant or employee of Grantee. Subrecipient shall have exclusive control of, and <br />the exclUsive right to control, the details of the work and services to be performed by <br />Subrecipient hereunder, and all persons perfonning same, except as otherwise set forth <br />herein and shall be solely responsible for the acts and omissions of its officers, members, <br />agents, servants, employees, subSubrecipients, program participants, licenses or invitees. <br />The doctrine of respondent superior shall not apply as between Grantee and Subrecipient, <br />its officers, members, agents, servants, employees, subSubrecipients, program <br />participants, licenses or invitees, and nothing herein shall be construed as creating a <br />partnership or joint enterprise between Grantee and Subrecipient. It is expressly <br />understood and agreed that no officer, member, agent, employee, subSubrecipient, license <br />or invitee of the Subrecipient, license or invitee of the Subrecipient, nor any program <br /> <br />5 <br />
