<br />e <br /> <br />e <br /> <br />1. Organization, Standing and Power. The Grantee is a corporation duly organized, <br /> <br /> <br />validly existing and in good standing under the laws of the State of Washington and is duly <br /> <br /> <br />authorized to do business in the State of Texas and in the City. The Grantee has all requisite power <br /> <br /> <br />and authority to own or lease its properties and assets, to conduct its businesses as currently <br /> <br /> <br />conducted and to execute, deliver and perfonn this Franchise and all other agreements entered into <br /> <br /> <br />or delivered in connection with or as contemplated hereby. <br /> <br /> <br />2. Compliance with Law. The Grantee is, to the best of its knowledge, in compliance <br /> <br /> <br />with all laws, ordinances, decrees and governmental rules and regulations applicable to the Cable <br /> <br /> <br />System and has obtained all government licenses, pennits and authorizations necessary for the <br /> <br /> <br />operation and maintenance of the Cable System. <br /> <br /> <br />3. Full Disclosure. Without limiting the specific language of any other representation <br /> <br /> <br />and warranty herein, all infonnation furnished by the Grantee to the City in connection with this <br /> <br /> <br />Franchise, or otherwise related to cable television matters by authorized officers of the Grantee, to <br /> <br /> <br />the best of the Grantee's knowledge is accurate and complete in all material respects, and includes <br /> <br />all material facts required to be stated therein and does not contain any untrue statement of a <br /> <br />material fact or omit any material fact necessary to make the statements therein not misleading. <br /> <br /> <br />There is no fact known to the Grantee, to. the best of its knowledge, which materially and adversely <br /> <br /> <br />affects or in the future could reasonably be expected to materially and adversely affect the business, <br /> <br /> <br />operations, properties, assets or financial condition of the Cable System, or any part thereof, which <br /> <br /> <br />has not been set forth in this Franchise or the other documents, certificates, and instruments <br /> <br />delivered to the City by or on behalf of the Grantee specificaUy for use in connection with the <br /> <br />transactions contemplated by this Franchise. <br />Section 38. BINDING EFFECT. This Franchise shaU be binding upon and inure to the <br /> <br />32 <br />
