• <br />by the members, as described herein, and the other officers shall be appointed by the <br />Chairman, as described herein. <br />(b) Tenure. Each officer shall serve for his or her term of office and - <br />until his or her successor shall have been duly elected and qualified unless such officer <br />is sooner removed in the manner specified in subparagraph (d) of this section 4.1 or <br />until such officer resigns. The positions and terms are as follows: <br />Chairman <br />1 year <br />First Vice-Chairman/Treasurer 1 year <br />Second Vice-Chairman/Secretary 1 year <br />Terms commence on January 1 of each year. The determination of which officer shall <br />serve in which office for the terms as set forth hereinabove shall be determined by the <br />membership at each general election. Each successor to an officer whose term has <br />expired (or will expire) shall be elected in the manner specified in section 4.1 of these <br />bylaws, and each such successor shall hold office for a term commencing upon <br />January 1 after the date of his or her election and ending upon January 1 one year <br />thereafter, except that, in the case of an appointment by the Chairman (or succession <br />of the First Vice -Chairman to Chairman) to fill a vacancy, the term of the successor <br />shall be for the unexpired term of the former occupant or until the date such officer <br />resigns or is removed, whichever is shorter. <br />In the event the First Vice -Chairman has already succeeded to the office <br />of Chairman as the result of an interim vacancy in the office of Chairman, the First Vice - <br />Chairman so serving shall be eligible to another term of office which shall constitute a <br />full, one-year term. <br />(c) Vacancies. A vacancy shall be declared in any office upon the <br />death, resignation, or removal of the occupant or upon the disability of the occupant <br />rendering him or her permanently incapacitated. <br />4/23/97 <br />16 <br />
