<br />non-profit corporation (the "Beneficiary"); and

<br />WHEREAS, Grantor has executed and delivered to Beneficiary that certain Note
<br />(as defined below) in conjunction with the execution of that certain Purchase and Sale
<br />Agreement by and between La Porte 5 Points Properties, L.P., Grantor and
<br />Bep.eficiary, dated October a. 2008 (the "PSA");

<br />WHEREAS, Grantor and Beneficiary desire to secure payment of that Note with
<br />the Property described below;

<br />NOW, THEREFORE, in consideration ofthe sum of $10.00, and other good and
<br />valuable consideration, the receipt and sufficiency of which are hereby acknowledged,
<br />Grantor has GRANTED, SOLD and CONVEYED, and by these presents does GRANT,
<br />SELL and CONVEY in trust unto Trustee, and his substitutes or successors, all of the
<br />following described property (the "Property'') situated in Harris County, Texas:
