Box 1115 <br />LaPorte, Texas 77571 <br /> <br />Subject: Air Product's 10" Pipeline Covered by LaPorte City Ordinance <br />No. 9l5Q <br /> <br />Dear Ms. Black, <br /> <br />Pursuant to our telephone conversation on 16 January, Air Products <br />and Chemicals, Inc. (and its wholly owned subsidiary, Catad, Inc.) have <br />made provisions to lease and sell the subject pipeline (map attached) to <br />an ethylene distribution company. The lease is scheduled for 1 April <br />1987, while consummation of the pipeline's sale is scheduled for 1 <br />October 1987. The lessee and eventual new owner of the pipeline will be <br />either Corpus Christi Petrochemical Company ("CCPC") or a related <br />pipeline group comprised of Champlin Pipeline, Inc., Imperial Pipeline <br />Inc. and Soltex Pipeline, Inc. ("The Group"). (CCPC and The Group are <br />affiliated companies and which name eventually appears on the lease and <br />bill of sale is a function of a re-organization issue that cannot be <br />resolved until a later date.) <br /> <br />The purpose of this letter is twofold as follows: <br /> <br />(1) To request the City's written consent to put the pipeline into <br />ethylene service beginning 1 April 1987 (the pipeline has been <br />in gaseous carbon dioxide service the last six years). <br /> <br />(2) To notify the City that Ordinance No. 9l5Q (copy attached) <br />will be assigned to one of the two potential assignees who, by <br />signing below, agrees to comply with all the terms and <br />conditions (including fees) of Ordinance No. 9l5Q. <br /> <br />If the City of LaPorte concurs with the request in (1) above, <br />please have the appropriate party sign both copies of this letter below <br />and return one copy to my attention at the above address. If necessary, <br />representatives of Air Products, CCPC and The Group would be happy to <br />appear before City Council and answer any questions or concerns you may <br />have. I understand that Council meets the 2nd and 4th Monday of every <br />month at 6:00 P.M. <br />
