AN ORDINANCE APPROVING AND AUTHORIZING AN EXTENSION OF INDUSTRIAL
DISTRICT AGREEMENT BETWEEN THE CITY OF LA PORTE AND SOUTHERN
IONICS, INC., FOR THE TERM COHHENCING JANUARY 18, 2000, AND ENDING
DECEMBER 31, 2000; MAKING VARIOUS FINDINGS AND PROVISIONS RELATING
TO THE SUBJECT; FINDING COMPLIANCE WITH THE OPEN MEETINGS LAW; AND
PROVIDING AN EFFECTIVE DATE HEREOF.
BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF LA PORTE:
section 10 The City Council hereby approves and authorizes
the contract, agreement, or other undertaking descr ibed in the
title of this ordinance, in substantially the form as shown in the
document which is attached hereto and incorporated herein by this
reference. The City Manager is hereby authorized to execute such
document and all related documents on behalf of the City of La
Porte. The City Secretary is hereby authorized to attest to all
such signatures and to affix the seal of the City to all such
documents.
Section 2.
The City Council officially finds, determines,
recites, and declares that a sufficient written notice of the date,
hour, place and subject of this meeting of the City Council was
posted at a place convenient to the public at the City Hall of the
Ci ty for the time required by law preceding this meeting, as
required by the Open Meetings Law, Chapter 551, Texas Government
Code; and that this meeting has been open to the public as required
by law at all times during which this ordinance and the subject
matter thereof has been discussed, considered and formally acted
upon.
The City Council further ratifies, approves and confirms
such written notice and the contents and posting thereof.
Section 3. This Ordinance shall be effective from and after
its passage and approval, and it is so ordered.

This AGREEMENT made and entered into by and between the CITY
OF LA PORTE, TEXAS, a municipal corporation of Harris County,

That certain Industrial District Agreement between City and
Company, dated January 1, 1987, with expiration date of December
31, 1993, the term of which was extended by the U.S. District Court
for the Southern District of Texas, by Judgment dated August 31,
1993, to a date "four years and nine months after a final, non-
appealable order is entered in the state permit litigation", which
extended date is on or about January 18, 2000, is further extended
by agreement between City and Company, to an expiration date of
December 31, 2000.
Except as herein amended, such Industrial District Agreement
is ratified, confirmed, and shall remain in full force and effect
until the extended expiration date of December 31, 2000.

Dear Mr. Sundbeck:
The Industrial District Agreement between Southern Ionics, Inc. and
the City of La Porte, dated January 1, 1987, the term of which was
extended by the U. S. District Court in Houston to a date "four
years and nine months after a final, non-appealable order is
entered in the state permit litigation," will expire, by the City's
calculations, on January 18, 2000. The City of La Porte's current
Industrial District Agreements with its other industrial companies,
expire on December 31, 2000.
The City of La Porte proposes to extend the term of the Southern
Ionics, Inc. Industrial District Agreement to the common expiration
date of December 31, 2000. Southern Ionics, Inc. would then be
included with the other industries in negotiations for renewal of
existing Industrial District Agreements, which negotiations we
anticipate will begin in 1999.
I have enclosed with this letter a short form of extension of the
existing agreement. If this agreement is satisfactory with
Southern Ionics, Inc., I would appreciate your signing and
returning the enclosed multiple copies to me, and I will have the
matter placed on a City of La Porte City council agenda for formal
approval, and return to your firm an executed copy.

Please find enclosed the original of the Extension ofIndustrial District Agreement which further extends
the Industrial District Agreement between Southern Ionics Incorporated and the City of La Porte to
December 31, 2000, and which I have executed on behalf of Southern Ionics Incorporated. Your
transmittal letter suggests that multiple copies of the extension were forwarded to me~ however, I only
received this one original. If you will forward any necessary duplicates, I will be happy to sign and return
them to you.
