'dHEREAS, The City of La Porte has heretofore adopted a Horne
Rule Charter authorizing it to annex territory and to extend the corporate
limits of said City by action of the City Commission; and,
VvHEREAS, the hereinafter described land is adjacent to the pres-
ent city limits of the City of La Porte and the members of the City Comr.lis-
sion of the City of La Porte have concluded that said area should be annexed
and made a part of the City of La Porte, Texas;
NO\i\t, THEREFORE, BE IT ORD/.INED BY THE CITY COMMISSIOl-.J
OF THE CITY OF LJ f'CRTE, TEXAS, THAT:
SECTION 1. That the following described territory be and the
sar.le is hereby annexed to the City of La Porte, Texas, and the boundary
limits of the City of La Porte be, and the same are hereby extended to in-
clude the following described territory within the city limits of the (;ity of
La Porte, and the same shall hereafter be included within the territorial
limits of said City, and the inhabitants thereof shall hereafter be entitled
to all rights and privileges of other citizens of the City of La Porte, and
the~ shall be bound by the acts, ordinances, resolutions and regulations of
said City. That the territory to be so annexed is more particularly describ-
ed as follows, to-wit:
BEGINNING on the present City Limit line of the City of
La Forte, at the intersection of the center line of West
Madison Street (formerly known as North D Street) and
the West right-of-way line of North Second Street;
THENCE in a Northerly direction along the vvest right-
of-way line of North Second 3treet to the point where
the vwest right-oi-way line of said North Second Street,
extended in the same direction, intersects with North
right-of-way line of the T. & N. C. Railroad (also
known as the G. H. & S. A. Railroad);
THENCE in a Northwesterly direction along the North
right-of-way line of the said T. & N. O. Railroad to the
point where the same intersects with the East boundary
line of the Town of Lomax, Texas;

SECTION 2-. Should any portion of the territory sought to be
annexed herein not be subjeci: to annexation by the City of La Forte, then it
is the intention of the City Commission of the City of La Forte to annex only
such portion of said area as may be legally subject to annexation by the City
of La forte, a.nd the fact tha~ a portion of said area may not legally be sub-
ject to annexation by said City shall not affect the validity of the annexation
of the remaining portions of said territory, it being the intention of the City
Commission to annex all or such portions of the above described area as it
may legally annex.
SECTICN 4. That this ordinance shall take effect from and after
its passage.

AGREEMENT
THIS AGREEMENT made and entered into by the City
of LaPorte, Texas, a home rule municipal corporation in
Harris County, Texas, herein called the "City," acting by
and through its officers and all members of its City Com-
mission, and E. I. du Pont de Nemours and Company, Celanese
Corporation of America, National Distillers and Chemical
Corporation, Houston Lighting & Power Company and Phillips
Petroleum Company, each being private corporations, with
permits to do business in Texas, herein called the
"Industries" and/or "Industry,"
WITNESSETH
WHEREAS, under date of December 22, 1958, the
City and E. I. du Pont de Nemours and Company, Celanese
Corporation of America, National Petro-Chemicals Corporation,
Houston Lighting & Power Company and Phillips Petroleum
Company entered into that certain Agreement relating to the
annexation by the City of certain lands of the Industries,
and other lands, all as more fully set forth in Ordinance
No. 558, as Amended, duly passed by the City Commission of
the City of LaPorte, Texas, on December 22, 1958, herein
referred to as "Amended Ordinance No. 558," to which Agree-
ment and Ordinance reference is here made for all purposes;
and
WHEREAS, the property formerly owned by National
Petro-Chemicals Corporation and oovered by said Agreement
dated December 22, 1958, is now owned by National Distillers
and Chemical Corporation; and

WHEREAS, it is deemed in the best interest of the
City and the Industries that such Agreement be supplemented
and amended as herein provided:
NOW, THEREFORE, in consideration of the mutual
covenants and agreements herein contained, the sufficiency
of which is ackn~w1edged, it is agreed by the parties as
follows:

The metes and bounds description of the area
annexed by the City in said Amended Ordinance No. 558 are
.. altered and expanded to include additional lands of the
respective Industries, all as set forth in a new Ordinance
No. f937 as passed by the City Commission of LaPorte, Texas,
on the date hereof, a copy of whioh is attached for all pur-

is hereby
substituted for all purposes for the said Amended Ordinance
No. 558, enacted December 22, 1958, as referred to in and
as an attachment to and part of said Agreement between the
City and the Industr~es of December 22, 1958, and that Agree-
ment is hereby ratified, confirmed and adopted by the parties
hereto as the date of this Agreement, including any and all
recitations, statements and admissions therein contained
which are here now recognized as presently existing, to the
same extent and for the same purposes and effect as they
were on December 22, 1958, SAVE AND EXCEPT only as such
Agreement of December 22, 1958, is expressly amended herein
to the contrary.
III.
Article III of said Agreement dated December 22,

"During the term hereof the City will not annex
or attempt to annex any properties now owned by the Indus-
tries or any of them, other than those included within the
descriptions set out in said new Ordinance No. ~."
IV.
Article IV of said Agreement of December 22, 1958,
is hereby amended by deleting the same in its entirety as it
originally appears therein and substituting therefor the
following:
"The parties recognize the difficulty of ascer-
taining with certainty the fair market value of the real
and personal property of the Industries included within the
corporate limits of the City, as set out in said attached
ordinance, and desire to avoid any controversy in that
respect. Wherefore, after full inspection of such proper-
ties by the City, acting through its Commission and Tax
Assessor, and upon full disclosure by each of the Industries,
it is agreed that the present 100% fair market value of such
properties of the Industries respectively are as set out in
Schedule A attached hereto and made a part hereof. II
V.
Article VI of said Agreement of December 22, 1958,
is hereby amended by substituting the date "1966" for the
date "196311 at each place therein where the latter occurs,
and by substituting the month "October" for "Novemberll
where the latter occurs.
VI.
Article VII of said Agreement of December 22,
1958, is hereby amended to the extent that, notwithstanding
the provisions of said Article VII, it is agreed that any
sale, conveyance or lease by any of the Industries to a
subsidiary or to affiliated corporations in which said
Industry owns or controls fifty per cent (50%) or more of

the voting stock shall not have the effect of removing such
land from the operation of this Agreement.
